Responsible Officer of the Collateral Agent definition

Responsible Officer of the Collateral Agent means an officer within Corporate Trust Services who shall have direct responsibility for the administration of this Agreement.

  • The Collateral Agent shall not be deemed to have notice or actual knowledge of any Event of Default under any Secured Debt Documents unless a Responsible Officer of the Collateral Agent shall have received written notice of such Event of Default from the Representative of such Secured Debt (a copy of which notice shall be delivered by such Representative to each other Representative) and such notice references this Agreement and the Secured Debt under which an Event of Default has occurred.

  • Senior Collateral Agent means Citicorp USA, Inc., in its capacity as Senior Collateral Agent under the Senior Collateral Documents, and its successors.
