Applicable Collateral Agent means (i) until the earlier of (x) the Discharge of Credit Agreement and (y) the Non-Controlling Representative Enforcement Date, the Credit Agreement Collateral Agent and (ii) from and after the earlier of (x) the Discharge of Credit Agreement and (y) the Non-Controlling Representative Enforcement Date, the Collateral Agent for the Series of First Lien Obligations represented by the Major Non-Controlling Representative.

Applicable Collateral Agent means (a) the U.S. Collateral Agent, with respect to the U.S. Security Documents and the U.S. Collateral, (b) the Canadian Collateral Agent, with respect to the Canadian Security Documents and the Canadian Collateral or (c) the Australian Collateral Agent, with respect to the Australian Security Documents and the Australian Collateral.

Examples of Applicable Collateral Agent in a sentence

• The Applicable Collateral Agent, the other Collateral Agents and the Pari Passu Secured Parties shall have no duty to advise any other party hereunder of information known to it or them regarding such condition or any such circumstances or otherwise.

• Each Collateral Agent will, subject to the terms of the Secured Credit Documents to which it is a party (and, in the case of the Notes Collateral Agent, receipt of an Officer’s Certificate and Opinion of Counsel to its satisfaction), execute and deliver such documents as the Applicable Collateral Agent may reasonably request (with there being no obligation of the Applicable Collateral Agent to make any such request) in connection with the foregoing.

• If in connection with any such foreclosure or other exercise of remedies the Applicable Collateral Agent releases any guarantor from its obligations under a guarantee of Pari Passu Obligations for which it serves as agent, then such guarantor will also be released from its guarantee of all other Pari Passu Obligations as and when, but only to the extent, the Applicable Collateral Agent releases such guarantor from such Pari Passu Obligations for which it serves as agent.

• The Applicable Collateral Agent shall not have any duties or obligations except those expressly set forth herein.

Applicable Collateral Agent means (i) until the earlier of (x) Discharge of Credit Agreement Obligations and (y) the Non-Controlling Authorized Representative Enforcement Date, the Administrative Agent and (ii) from and after the earlier of (x) the Discharge of Credit Agreement Obligations and (y) the Non-Controlling Authorized Representative Enforcement Date, the Collateral Agent for the Series of First Lien Obligations represented by the Major Non-Controlling Authorized Representative; provided, in each case, that if there shall occur one or more Non-Controlling Authorized Representative Enforcement Dates, the Applicable Collateral Agent shall be the Collateral Agent for the Series of First Lien Obligations represented by the Major Non-Controlling Authorized Representative in respect of the most recent Non-Controlling Authorized Representative Enforcement Date.

Applicable Collateral Agent means (a) with respect to the Notes Priority Collateral, the Applicable First-Lien Collateral Agent and (b) with respect to the ABL Priority Collateral, the ABL Facility Collateral Agent.

Applicable Collateral Agent has the meaning assigned to such term in the First Lien Intercreditor Agreement.

Applicable Collateral Agent means the “Collateral Agent” (as defined in the First Lien/First Lien Intercreditor Agreement) with respect to all Collateral.
