Required Financial Information definition

Required Financial Information means, with respect to each fiscal period or quarter of the Borrower, (a) the financial statements required to be delivered pursuant to Section 6.01(a) or (b) for such fiscal period or quarter of the Parent REIT, and (b) the Compliance Certificate required by Section 6.02(a) to be delivered with the financial statements described in clause (a) above.
Required Financial Information means, with respect to the applicable Calculation Date, (i) the financial statements of the Consolidated Parties required to be delivered pursuant to Section 7.1(a) or (b) for the fiscal period or quarter ending as of such Calculation Date, and (ii) the certificate of an Executive Officer of the Borrower required by Section 7.1(c) to be delivered with the financial statements described in clause (i) above.
Required Financial Information means, at any date of determination, the Consolidated financial statements of the Borrower and its Subsidiaries most recently delivered to the Administrative Agent and the Lender Parties on or prior to such date pursuant to, and satisfying all of the requirements of, Section 5.03(b) or 5.03(c) and accompanied by the certificates and other information required to be delivered therewith.

Required Financial Information means, with respect to each fiscal period or quarter of the Borrower (a) the financial statements required to be delivered to the Administrative Agent pursuant to Section 6.01(a) or Section 6.01(b) and (b) the Compliance Certificate required to be delivered to the Administrative Agent pursuant to Section 6.02(a).

Required Financial Information means (a) (i) the audited consolidated balance sheets and related statements of income, stockholdersequity and cash flows of the Company and its Subsidiaries for the three most recently completed fiscal years ended at least 60 days before the Closing Date and (ii) the unaudited consolidated balance sheets and related statements of income and cash flows of the Company and its Subsidiaries for each subsequent fiscal quarter ended at least 40 days before the Closing Date (other than the fourth fiscal quarter) and the corresponding period of the prior fiscal year (which quarterly financial statements shall have been reviewed by the Company’s independent accountants as provided in AS 4105 (formerly SAS100)); and (b) (x) unaudited pro forma consolidated income statements of the Retained Business for each of (A) the fiscal years of the Retained Business for which audited consolidated financial statements of the Company and its Subsidiaries are provided pursuant to clause (a)(i) above and (B) any interim period reasonably necessary to permit Parent or Holdco to prepare a pro forma consolidated statement of income for any interim period to the extent required by Regulation S-X under the Securities Act to be presented in a Parent or Holdco registration statement filed with the SEC and (y) the unaudited pro forma consolidated balance sheet of the Retained Business (A) as of the date of the most recent consolidated balance sheet of the Company and its Subsidiaries provided pursuant to clause (a) above and (B) as of any date reasonably necessary to permit Parent or Holdco to prepare a pro forma consolidated balance sheet for any date to the extent required by Regulation S-X under the Securities Act to be presented in a Parent or Holdco registration statement filed with the SEC.
Required Financial Information means (i) all financial and other information regarding the Company and its Subsidiaries to the extent required under the Debt Commitment Letters in order for Parent to complete and deliver (A) a customary confidential information memorandum (other than the portions thereof customarily provided by financing or other sources) to syndicate the Financing under the Debt Commitment Letters and (B) a customary offering document relating to an offering of high-yield debt securities under Rule 144A of the 1933 Act (other than the portions thereof customarily provided by investment banks or their counsel) and (ii) all financial and other information of the Company and its Subsidiaries required by paragraphs 4, 5 and 6 of Exhibit D to the Debt Commitment Letters; in each case of the foregoing subclauses (i) and (ii), provided that, for the avoidance of doubt, the Company’s obligations with respect to information related to post-Closing pro forma cost savings, synergies, capitalization, ownership or other pro forma adjustments desired to be incorporated into any pro forma financial information or projections shall be limited to providing Parent with the information regarding the Company and its Subsidiaries that is (x) reasonably necessary in order for Parent to produce such pro forma financial information or projections and (y) requested by Parent in writing no later than ten (10) Business Days prior to the filing by the Company of the relevant financial statements on Form 10-K and Form 10-Q.

Required Financial Information means historical financial statements (including audited and reviewed statements for the periods set forth in paragraph (f) of Exhibit E of the Commitment Letter), financial data, audit reports and other information of the Company and its Subsidiaries of the type required by Regulation S-X and Regulation S-K under the Securities Act for a registered public offering of debt securities by Buyer (for the avoidance of doubt, it being understood that for a registered public offering of debt securities by Buyer such Required Financial Information is not required to, among other exclusions (i) include segment information, (ii) comply with Rules 3-09, 3-10 and 3-16 of Regulation S-X or (iii) refer to or contain disclosure required for public companies in accordance with Public Company Accounting Oversight Board standards), assuming that such offering(s) were consummated at the same time during the Company’s fiscal year as such offering(s) of debt securities will be made, or as otherwise necessary in order to assist in receiving customarycomfortfrom the Company’s auditors in connection with the offering(s) of debt securities contemplated by the Commitment Letter, it being understood and agreed that such information shall not include pro forma financial statements or projections, which shall be the responsibility of Buyer.
Required Financial Information means: (a) the Financial Statements; (b) an unaudited balance sheet, statement of income and statement of cash flows (and related notes) of the Combined HH&B Group for each fiscal quarter ending after September 30, 2016 and greater than thirty-five (35) days prior to the Closing Date, together with a comparison to the statement of income and statement of cash flows for the same period of the prior fiscal year and the balance sheet as of the prior quarter’s end, in each case, prepared in accordance with GAAP applied on a consistent basis (except as may be indicated in the notes thereto) and on a carve-out basis consistent with the Financial Statements; and (c) financial and other information regarding the Transferred Entities required in order for Buyers and their respective Affiliates to complete and deliver a customary confidential information memorandum (other than the portions thereof customarily provided by financing or other sources) to syndicate the Debt Financing under the Debt Commitment Letter, as reasonably requested by Buyers and their respective Affiliates or its financing sources in connection with the Debt Financing, including furnishing information with respect to the Transferred Entities reasonably required for the preparation by Buyers and their respective Affiliates of: (i) a pro forma consolidated balance sheet and related pro forma consolidated statement of income of Silgan as of and for: (A) the twelve (12)-month period ending December 31, 2016; and (B) the twelve (12)-month period ending on the last day of the most recently completed four-fiscal quarter period of Silgan ended on the last day of a fiscal quarter that is at least thirty-five (35) days prior to the Closing Date for which financial statements are available, in each case prepared after giving effect to the transactions contemplated hereby and the Debt Financing as if such transactions and the Debt Financing had occurred as of such date (in the case of such balance sheet) or at the beginning of such period (in the case of the statement of income), provided, that Buyers shall be responsible to provide information relating to the proposed debt and equity capitalization; and (ii) materials for rating agency presentations for the Debt Financing, including business and financial projections reasonably requested by Buyers in connection with the Debt Financing.
