Republic Disclosure Memorandum definition

Republic Disclosure Memorandum means the written information in one or more documents, each of which is entitled "Republic Disclosure Memorandum" and dated on or before the date of this Agreement and delivered not later than the date of execution of this Agreement by Republic to BB&T. Information disclosed with respect to one Section shall not be deemed to be disclosed for purposes of any other Section not specifically referenced.
Republic Disclosure Memorandum means the written information entitled "Republic Disclosure Memorandum" delivered prior to the execution of this Agreement to Buyer describing in reasonable detail the matters contained therein and, with respect to each disclosure made therein, specifically referencing each Section or subsection of this Agreement under which such disclosure is being made. The inclusion of any matter in this document shall not be deemed an admission or otherwise to imply that any such matter is Material for purposes of this Agreement.
