Relative Ownership Percentage shall have the meaning set forth in Section 3.3.
Relative Ownership Percentage means, with respect to any Purchaser, a fraction (expressed as a percentage), the numerator of which is the percentage of Total Current Voting Power of the Company Beneficially Owned by such Purchaser on a Fully-Diluted Basis and the denominator of which is the percentage of Total Current Voting Power of the Company Beneficially Owned by both Purchasers on a Fully-Diluted Basis.
