Registered Noteholders definition

Registered Noteholders means the persons for the time being and from time to time registered as holders of the Notes (including each person who is for the time being and from time to time entitled to be registered as a holder).
Registered Noteholders means the several persons in whose names for the time being a Registered Note is or Registered Notes are registered;
Registered Noteholders. “Request” means an instrument, signed in one or more counterparts by the Registered Holders of at least 25 per cent of the aggregate principal amount of the Notes then outstanding, requesting the Trustee to take some action or proceeding authorized under the terms of the Notes or hereunder;

Examples of Registered Noteholders in a sentence

  • Payments of interest and principal on each Class of Notes will be made pro rata to the Registered Noteholders of that Class on each Payment Date.

  • Waivers of notice by Registered Noteholders will be filed with the Indenture Trustee, but such filing will not be a condition precedent to the validity of any action taken in reliance upon such waiver.

  • For Definitive Notes, payments will be made (i) if the Noteholder has given to the Note Registrar instructions at least five Business Days before that Payment Date and the aggregate original principal amount of the Noteholder's Notes is at least $1,000,000, by wire transfer to the account of the Registered Noteholder or (ii) by check mailed first class mail, postage prepaid, to the Registered Noteholder's address as it appears on the Note Register on the related Record Date.

  • The Registered Noteholders will not be entitled to any interest or other payment for the delay in receiving the Optional Redemption Amount unless such delay has been caused by wilful misconduct or gross negligence of the Issuer.

  • For the avoidance of doubt, upon a Full Repayment, the relevant Registered Notes are redeemed in full and all claims of the Registered Noteholders shall be satisfied in respect of the Registered Notes so redeemed.

  • In such a case, the obligations of the Issuer under these Conditions shall be fully discharged and the Registered Noteholders shall have no further claim or recourse against the Issuer.

  • The Registered Noteholders, by subscribing for, or otherwise acquiring, the Registered Notes, are deemed to have (i) consented to any substitution of the Issuer effected in accordance with this Condition 16 and to the release of the Issuer from any and all obligations in respect of the relevant Registered Notes and these presents; and (ii) accepted such substitution and the consequences thereof.

  • No modifications to the Conditions may be made by the Registered Noteholders without the Issuer's written consent.

  • For the avoidance of doubt, the Issuer shall only be obliged to make any payments to the Registered Noteholders in respect of the Registered Notes if, and only to the extent that, the relevant amounts are held in the Segregated Portfolio.

  • The Issuer reserves the right at any time, without the prior approval of the Registered Noteholders, to vary or terminate the appointment of each of the Registrar and Transfer Agent and the Distribution Agent, provided that the Issuer will at all times maintain a Registrar and Transfer Agent and a Distribution Agent having a specified office in the European Union.

Related to Registered Noteholders

  • Registered Noteholder means the Person in whose name a Note is registered on the Note Register on the applicable Record Date.

  • Registered Notes has the meaning specified in Section 2.1.

  • Required Noteholders has, with respect to any Series of Notes, the meaning stated in the related Series Supplement.

  • Initial Noteholders shall have the meaning assigned to such term in the recitals.

  • Registered Note means a Note in registered form;

  • Senior Noteholders means the Note A Holders, individually or collectively, as the context may require.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Noteholders means the holders of the Notes.

  • Requesting Noteholders shall have the meaning ascribed thereto in Section 12.01 of the Indenture.

  • Verified Note Owner means a Note Owner that has provided the Indenture Trustee or the Servicer, as applicable, with each of (i) a written certification that it is a beneficial owner of a specified principal amount of Outstanding Notes and (ii) a trade confirmation, an account statement, a letter from a broker or dealer or other similar document showing that such Note Owner is a beneficial owner of such principal amount of Outstanding Notes.

  • Definitive Trust Certificates shall have the meaning set forth in Section 3.10.

  • Senior Noteholder means the holder of a Senior Note.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class E Noteholders means the holders of any Class E Notes from time to time.

  • Trust Certificate means a certificate evidencing the beneficial interest of a Certificateholder in the Trust, substantially in the form of Exhibit A to the Trust Agreement.

  • Initial Noteholder means (i) with respect to Note A-1, the Initial Note A-1 Holder and (ii) with respect to Note A-2, the Initial Note A-2 Holder.

  • Trust Certificateholder means the Person in whose name a Trust Certificate is registered on the Certificate Register.

  • Class D Noteholder means the Person in whose name a Class D Note is registered on the Note Register.

  • Requisite Noteholders Holders of Notes evidencing not less than a majority of the Outstanding Amount of the Controlling Class.

  • Class B Noteholders Distribution Amount” means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Registered Certificate Any Certificate that has been the subject of registration under the Securities Act. As of the Closing Date, the Class A-1, Class A-2, Class A-3, Class A-4, Class A-5, Class A-SB, Class X-A, Class X-B, Class A-S, Class B, Class C and Class PEX Certificates constitute Registered Certificates.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Non-Lead Noteholder means any Noteholder other than the Lead Securitization Noteholder.

  • Grantor Trust Certificates Any class of commercial mortgage pass-through certificates issued under this Agreement that is designated as evidencing an interest in the Grantor Trust. The Class S Certificates and the Class VRR Certificates shall be the only Classes of Grantor Trust Certificates issued under this Agreement.

  • Class E Noteholder means the Person in whose name a Class E Note is registered on the Note Register.
