Redemption Cash Payment definition

Redemption Cash Payment has the meaning given to it in Section 3(a).
Redemption Cash Payment means the Redemption Cash Consideration MINUS the Company Notes Amount, and (ii) "REDEMPTION CASH CONSIDERATION" shall mean $1,125,000,000 PLUS the Capital Expenditure Surplus, if any, minus the sum of (A) the Working Capital Amount, (B) the Remaining Xxxx Xxxx Expenditure Amount and (C) the Capital Expenditure Deficit, if any.
Redemption Cash Payment means the Redemption Cash Consideration MINUS the Company Notes Amount, and (ii) "REDEMPTION CASH CONSIDERATION" shall mean $1,095,000,000 PLUS the sum of (X) Capital Expenditure Surplus, if any, and (Y) the AGGREGATE PER DIEM LIQUIDATED DAMAGE REDEMPTION AMOUNT (as defined in the next sentence), minus the sum of (A) the Working Capital Amount, (B) the Remaining Xxxx Xxxx Expenditure Amount and (C) the Capital Expenditure Deficit, if any. "AGGREGATE PER DIEM LIQUIDATED DAMAGE REDEMPTION AMOUNT", which shall serve as liquidated damages in lieu of any other right or remedy of Motorola arising from the failure of the Closing Date to occur simultaneously with the occurrence of the Effective Date (as defined in Section 5.1 of the Agreement), shall mean the product of $500,000 multiplied by the number of calendar days for the period beginning on and including July 31, 1999 and ending on and including the day immediately preceding the Closing Date (it being understood that if the Closing occurs on August 4, 1999, the Aggregate Per Diem Liquidated Damage Redemption Amount shall equal $2 million)."

  • In accordance with the Debenture, upon presentation and surrender thereof by the Holder, the Corporation will satisfy its obligations in respect of its right to redeem by way of the Redemption Cash Payment.

  • Cash Payment has the meaning set forth in Section 2.03(b)(iii) below.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;

  • Redemption Call Right has the meaning ascribed thereto in the Plan of Arrangement.

  • Redemption Payment Date As defined in Section 13.1.

  • Net Cash Payments means, with respect to any Disposition, the aggregate amount of all cash payments received by the Company and its Restricted Subsidiaries directly or indirectly in connection with such Disposition, whether at the time of such Disposition or after such Disposition under deferred payment arrangements or Investments entered into or received in connection with such Disposition (including, without limitation, Disposition Investments); provided that:

  • Redemption Call Purchase Price has the meaning provided in Section 1.4;

  • Excess Cash Payment Date means the date occurring 95 days after the last day of each Fiscal Year of Holdings (commencing with the Fiscal Year of Holdings ended December 31, 2010).

  • Redemption Premium means (i) in the case of the Events of Default described in Section 4(a)(i) - (vi) and (ix) - (xii), 125% or (ii) in the case of the Events of Default described in Section 4(a)(vii) - (viii), 100%.

  • Redemption Proceeds means any proceeds in any applicable currency from a redemption in respect of the Charged Assets in accordance with the terms and conditions of such Charged Assets.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Closing Cash Payment has the meaning set forth in Section 2.06(a).

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Optional Redemption Premium means, with respect to any Series, the premium (expressed as a percentage of the Liquidation Preference of the shares of such Series) payable by the Fund upon the redemption of MuniFund Term Preferred Shares of such Series at the option of the Fund, as set forth in the Appendix for such Series.

  • Redemption Calculation Date means the sixth Payment Business Day prior to the date on which the Notes are redeemed as a result of any event specified in this § 5(3).(b) Notice of redemption shall be given by the Issuer to the Holders in accordance with § 14 and shall be delivered to the Fiscal Agent not less than 15 days before and shall at least specify:

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Redemption Value means, in respect of a Unit, the price per Unit at which such Unit is redeemed, calculated in accordance with the Trust Deed.

  • Minimum Redemption Amount has the meaning specified in the applicable Final Terms;

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Redemption Fee means the fee applied by us for the return of funds to an IBAN Account holder, or Cardholder following a request for redemption by an IBAN Account holder Cardholder under this Agreement, as specified in the attached Fees & Limits Schedule;

  • Change of Control Redemption Premium means 125%.

  • Individual Settlement Payment means the amount payable from the Net

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.
