Realty Use Rights definition

Realty Use Rights has the meaning set forth in Section 4.7(b).
Realty Use Rights has the meaning ascribed thereto in Section 4.16(c); "Relocation" has the meaning ascribed thereto in Section 6.1(h); "Representative" has the meaning ascribed thereto in Section 6.3(a); "Required Consents" has the meaning ascribed thereto in Section 7.11; "Shareholder Approval" means the approval by shareholders of the Company as required by and in accordance with applicable rules, regulations, statutes or any other pronouncements of the TSE, NASDAQ or any federal, state, provincial or local governmental authority; "Shareholders Agreement" has the meaning ascribed thereto in the recitals; "Securities Act (Ontario)" means the Securities Act (Ontario), R.S.O. 1990, c. S.5, as the same may be amended, re-enacted or replaced from time to time; "Significant Transactions" has the meaning ascribed thereto in Section 6.3(a)(i); "Software" has the meaning ascribed thereto in Section 4.20; "Subsidiary" shall mean any Person of which the Company (either alone or through or together with any other Subsidiary) owns, directly or indirectly, 50% or more of the capital stock or other equity interest, the holders of which are generally entitled to vote for the election of the board of directors or other governing body of such Person; "THL Voting Agreement" has the meaning ascribed thereto in the recitals; "Trade Secrets" has the meaning ascribed thereto in Section 4.20; "Transaction Documents" has the meaning ascribed thereto in Section 7.8; "Transaction Term Sheet" means the term sheet attached hereto as Exhibit B. "TSE" means the Toronto Stock Exchange; "Updates" has the meaning ascribed thereto in Section 6.1(n); "Voting Agreement" has the meaning ascribed thereto in the recitals; "Voting Trust Agreement" has the meaning ascribed thereto in the recitals; "Warrant Agreement" has the meaning ascribed thereto in the recitals; "Writedown" has the meaning ascribed thereto in Section 6.1(a). 2.
Realty Use Rights means all rights arising under any of the Realty Use Rights Agreements.

Related to Realty Use Rights

  • Use Rights means the license terms and terms of service for each Product published on the Licensing Site and updated from time to time. The Use Rights supersede the terms of any end user license agreement that accompanies a Product. License terms for all Products are published in the Product Terms. Terms of service for Online Services are published in the Online Services Terms.

  • Water Rights means: (1) with respect to any Person, all of such Person’s right, title and interest in and to any water stock, permits or entitlements and any other water rights related to or appurtenant to property owned or leased by such Person, and (2) with respect to any property, any water stock, permits or entitlements and any other water rights related to or appurtenant to such property.

  • Industrial Property Rights means all of the Company's patents, trademarks, trade names, inventions, copyrights, know-how or trade secrets, formulas and science, now in existence or hereafter developed or acquired by the Company or for its use, relating to any and all products and services which are developed, formulated and/or manufactured by the Company.

  • Public Rights-of-Way means the area on, below, or above a public roadway, highway, street, public sidewalk, alley, waterway, or utility easements dedicated for compatible uses.

  • Surface Rights means all rights to use the surface of land in connection with the Properties including, without limitation, all rights to enter upon and occupy the surface of land on which the Tangibles and Xxxxx are located and rights to cross or otherwise use the surface of land for access to the Properties;

  • Trademark Rights means all common law and other rights (but in no event any of the obligations) in and to the Trademarks in the United States and any state thereof and in foreign countries.

  • Trade Rights means and include: (i) all trademark rights, business identifiers, trade dress, service marks, trade names and brand names, all registrations thereof and applications therefor and all goodwill associated with the foregoing; (ii) all copyrights, copyright registrations and copyright applications, and all other rights associated with the foregoing and the underlying works of authorship; (iii) all patents and patent applications, and all international proprietary rights associated therewith; (iv) all contracts or agreements granting any right, title, license or privilege under the intellectual property rights of any third party; (v) all inventions, mask works and mask work registrations, know-how, discoveries, improvements, designs, trade secrets, shop and royalty rights, employee covenants and agreements respecting intellectual property and non-competition and all other types of intellectual property; and (vi) all claims for infringement or breach of any of the foregoing.

  • Industrial Designs means all right, title and interest (and all related IP Ancillary Rights) arising under any Requirement of Law in or relating to registered industrial designs and industrial design applications.

  • Access Rights means licences and user rights to foreground or background;

  • Real Property Rights means all rights in or to real property (such as leasehold or other rights to use or access the Project Site), leases, agreements, Permits, easements, including licenses, private rights-of-way, and utility and railroad crossing rights required to be obtained or maintained by Owner in connection with construction of the Project on the Project Site, transmission of electricity to the Grid, performance of the Work, or operation of the Project.

  • Special declarant rights means rights reserved for the benefit of a declarant to:

  • Property Agreements means all agreements, grants of easements and/or rights-of-way, reciprocal easement agreements, permits, declarations of covenants, conditions and restrictions, disposition and development agreements, planned unit development agreements, parking agreements, party wall agreements or other instruments affecting the Property, including, without limitation any agreements with Pad Owners, but not including any brokerage agreements, management agreements, service contracts, Space Leases or the Loan Documents.

  • Appurtenant Rights means (i) all agreements, easements, rights of way or use, rights of ingress or egress, privileges, appurtenances, tenements, hereditaments and other rights and benefits at any time belonging or pertaining to the Land or the Improvements, including, without limitation, the use of any streets, ways, alleys, vaults or strips of land adjoining, abutting, adjacent or contiguous to the Land and (ii) all permits, licenses and rights, whether or not of record, appurtenant to the Land.

  • industrial design means any composition of lines or colours or any three dimensional material, whether or not associated with lines or colours, provided that such a composition, form or material gives a special appearance to a product of industry or handicraft, can serve as a pattern for a product of industry or handicraft and appeals to and is judged by the eye;

  • Licensee Improvements means any improvement, enhancement, modification, derivative work or upgrade to any of Licensor Patent Rights made, conceived, reduced to practice, affixed or otherwise developed by or on behalf of Licensee during the term of this Agreement and solely as exercised under the License.

  • Land use plan means a plan prepared under former 1921 PA 207, former 1943 PA 184, or a site plan under the Michigan zoning enabling act, 2006 PA 110, MCL 125.3101 to 125.3702.

  • Intellectual Property Matters Agreement means the Intellectual Property Matters Agreement to be entered into by and between Parent and SpinCo or the members of their respective Groups in connection with the Separation, the Distribution or the other transactions contemplated by this Agreement, as it may be amended from time to time.

  • Background IPR means any Intellectual Property Rights (other than Project IPR) belonging to either party before the Commencement Date or not created in the course of or in connection with the Project;
