RBF Companies definition

RBF Companies means, collectively, RBF and all RBF Subsidiaries.

  • At NCC’s request, at least thirty (30) days prior to the Effective Time, RBF shall take, or shall cause to be taken, an inventory of all fixed assets of the RBF Companies to verify the presence of all items listed on their respective depreciation schedules, and RBF shall allow NCC‘s representatives, at the election of NCC, to participate in or be present for such inventory and shall deliver to NCC copies of all records and reports produced in connection with such inventory.

  • None of the RBF Companies maintains any other office or branch or conducts business at any other location, or has applied for or received permission to open any additional office or branch or to operate at any other location.

  • Each of the RBF Companies owns or possesses valid and binding licenses and other rights to use without additional payment all material patents, copyrights, trade secrets, trade names, service marks, trademarks, computer software and other intellectual property used in its business; and none of the RBF Companies has received any notice of conflict with respect thereto that asserts the rights of others.
