Qualifying Employer Security definition

Qualifying Employer Security means the Class A and Class B common stock of the Company.
Qualifying Employer Security means stock of the Employer or a marketable obligation of the Employer, as defined in ERISA Section 407.
Qualifying Employer Security means the common stock issued by the Employer which is tradable on an established securities market, or any other securities of the Employer which meet the requirements of Code Section 409(l) and are specified in writing to the Plan Administrator by the Employer.

Examples of Qualifying Employer Security in a sentence

  • Except as required by ERISA, the Trustee shall (a) follow all directions above referred to in this Section and (b) shall have no duty to exercise voting or other rights relating to any such security, Qualifying Employer Security or other asset.

  • The Trustee shall not accept any Employer contribution in the form of a Qualifying Employer Security unless either (A) that contribution is discretionary and the contributed Qualifying Employer Security is not encumbered, or (B) the contribution of such Qualifying Employer Security satisfies the requirements of ERISA Section 408(e) to the extent applicable.

  • If the division date specified in the order is prior to the ex-date of such dividend, then so much of the dividend that is attributable to the Alternate Payee's share of the investment in the Qualifying Employer Security Fund shall be deemed to be earnings on the Alternate Payee share.

  • In the event that cash and/or shares of Qualifying Employer Security are paid and/or transferred to the Trustee under this provision, shares of Qualifying Employer Security shall be valued at their fair market value as of the date of said purchase, and interest at a reasonable rate from the date of purchase to the date of payment shall be paid by the seller on the amount of cash paid.

  • Any acquisition or disposition of a Qualifying Employer Security shall be at an independently determined fair market value.


More Definitions of Qualifying Employer Security

Qualifying Employer Security means the employer securities as defined in Section 407(d) of ERISA.
Qualifying Employer Security means any common stock of Liberty Media Corporation (formerly Liberty CapStarz, Inc.), any common stock of any affiliated entity of Liberty Media Corporation, and any common stock of any other participating Employer in this Plan, as described in ERISA Section 407(d)(5).
