Qualified Equity Issuance definition

Qualified Equity Issuance means any sale or issuance of any Equity Interests (other than Disqualified Stock) of the Parent or contribution to the capital of the Parent (other than in respect of Disqualified Stock), in each case the proceeds of which are received by, or contributed to the common equity of, the Parent.
Qualified Equity Issuance means a public or private issuance of common stock by the Company of at least $50.0 million to Persons who are not Subsidiaries of the Company.

Qualified Equity Issuance any issuance by Holdings or any direct or indirect parent of Holdings of its Capital Stock (other than Disqualified Capital Stock) in a public or private offering which has been contributed directly or indirectly in cash as common equity to Holdings and from Holdings to the Borrower.
