Public Offering Event definition

Public Offering Event means the first date after which the Company has completed one or more Public Offerings as a result of which at least twenty percent (20%) of the outstanding Common Stock (after giving effect to such offerings) is publicly traded.
Public Offering Event is the issuance by Supplier or any Guarantor of capital stock to the public in an underwritten public offering of capital stock registered pursuant to a registration statement on Form S-1 with the federal Securities and Exchange Commission.
Public Offering Event has the meaning set forth in Section 9.1.

  • The foregoing shall not apply in the case of any Shares acquired by a Transferee pursuant to a sale of Shares pursuant to an effective registration statement under the Securities Act or, except for sales to an affiliate of the Company or sales made prior to a Public Offering Event, pursuant to Rule 144.

  • The provisions of this Article IV shall expire upon the occurrence of a Public Offering Event.

Public Offering Event means the first date after which at least twenty percent (20%) of the Company’s outstanding shares of Common Stock is publicly held and such Common Stock is listed or admitted to trading on a national securities exchange or quoted on the NASDAQ National Market or Small Capitalization System; or
Public Offering Event means the first date after which the Company, MMHC or any other entity holding, directly or indirectly, all of the equity interests in the Company has completed one or more public offerings of its common stock in an aggregate offering amount of at least $50.0 million or as a result of which at least fifteen percent (15%) of the common stock of such entity (after giving effect to such offerings) is publicly traded.
Public Offering Event means the closing of a public offering of Common Stock pursuant to a registration statement under the Securities Act (other than a registration statement on Form S-4 or S-8 or any successor form(s)), after which at least twenty-five percent (25%) of the outstanding shares of Common Stock is publicly held and such Common Stock is listed or admitted to trading on a national securities exchange or quoted on the NASDAQ National Market.
Public Offering Event means the first underwritten registered public offering of Shares pursuant to a Registration Statement.
Public Offering Event means the date on which the Company shall have completed a closing of any transaction that results, or series or related transactions that result, in: (i) the shares of Common Stock of the Company being registered under the Exchange Act; or (ii) the shares of Common Stock of the Company being exchanged for the shares of common stock of any corporation that are registered under the Exchange Act.
