Noticed Bank Product definition

Noticed Bank Product means any Bank Product provided by the Administrative Agent or any of its Affiliates and any other Bank Product for which the applicable Bank Product Provider (a) has disclosed to the Administrative Agent prior to the Closing Date (which disclosure shall comply with the information provisions set forth in the definition ofBank Products”) or (b) shall have complied with the notice and other information provisions set forth in the definition of “Bank Products”.
Noticed Bank Product means Bank Product Obligations arising under a Bank Product, in respect of which the notice delivered to the Administrative Agent pursuant to Section 2.23 by the applicable Secured Bank Product Provider and the Borrower (as required under the definition of “Secured Bank Product Provider”) confirms that such Bank Product Obligations shall be deemed a “Noticed Bank Product” hereunder for all purposes, including the application of Availability Reserve and Section 7.02, so long as no Overadvance would result from establishment of a Bank Product Reserve with respect to such Bank Product Obligations; provided that, if the amount of Secured Bank Product Obligations arising under such Bank Product is increased in accordance with the definition of “Secured Bank Product Obligations”, then such Secured Bank Product Obligations shall only constitute a Noticed Bank Product to the extent that a Bank Product Reserve can be established with respect to such Bank Product Obligations without resulting in an Overadvance. For the avoidance of doubt, (a) so long as J.P. Morgan or one of its Affiliates is the Administrative Agent, neither J.P. Morgan nor any of its Affiliates providing Bank Products for any Loan Party or any Subsidiary of a Loan Party shall be required to provide any notice in respect of such Bank Products and (b) all Bank Product Obligations set forth in Schedule 1.01(a) as of the date hereof shall constitute Noticed Bank Products.

  • Borrowers may not voluntarily prepay the Term Advances (other than in connection with a Repricing Transaction so long as the aggregate principal amount of the term loans under such Repricing Transactions is the same as the aggregate principal amount of the repaid Term Advances) until all Revolver Advances have been paid in full in cash, all Letters of Credit have been Cash Collateralized, all Noticed Bank Product Obligations have been Cash Collateralized and the Revolver Commitments have been terminated.

  • Secured Bank Product Obligations Debt, obligations and other liabilities with respect to Bank Products owing by an Obligor to a Secured Bank Product Provider; provided, that Secured Bank Product Obligations of an Obligor shall not include its Excluded Swap Obligations.

  • Bank Product Obligations means (a) all obligations, liabilities, reimbursement obligations, fees, or expenses owing by each Loan Party and its Subsidiaries to any Bank Product Provider pursuant to or evidenced by a Bank Product Agreement and irrespective of whether for the payment of money, whether direct or indirect, absolute or contingent, due or to become due, now existing or hereafter arising, (b) all Hedge Obligations, and (c) all amounts that Agent or any Lender is obligated to pay to a Bank Product Provider as a result of Agent or such Lender purchasing participations from, or executing guarantees or indemnities or reimbursement obligations to, a Bank Product Provider with respect to the Bank Products provided by such Bank Product Provider to a Loan Party or its Subsidiaries.

  • Bank Products Provider means any Lender or Affiliate of a Lender that provides Bank Products to the Borrower, any Restricted Subsidiary or any Guarantor.

  • Bank Product Agreement means any agreement evidencing Bank Product Obligations.

  • Bank Product Agreements means those agreements entered into from time to time by Parent or its Subsidiaries with a Bank Product Provider in connection with the obtaining of any of the Bank Products.

  • Banking Product Obligations means, as applied to any Person, any direct or indirect liability, contingent or otherwise, of such Person in respect of any treasury, depository and cash management services, netting services and automated clearing house transfers of funds services, including obligations for the payment of fees, interest, charges, expenses, attorneys’ fees and disbursements in connection therewith.

  • Bank Product Debt means the Indebtedness and other obligations of any Credit Party or Subsidiary relating to Bank Products.

  • Hedging Obligations means, with respect to any specified Person, the obligations of such Person under:

  • NAIC Approved Bank means a bank that is a bank listed on the most current “List of Qualified U.S. Financial Institutions” approved by the NAIC (the “NAIC Approved Bank List”) (or any branch or related entity of such bank that qualifies as a Qualified U.S. Financial Institution in accordance with the Purposes and Procedures Manual of the NAIC Investment Analysis Office).

  • Overdraft Obligations means, with respect to any Portfolio, the amount of any outstanding Overdraft(s) provided by the Custodian to such Portfolio together with all accrued interest thereon.
