New Line of Business definition

New Line of Business means new Products from time to time offered after the Effective Date by any HMO Subsidiary (including any Operating Unit thereof), including, without limitation, Governmental Programs (other than those constituting Covered Products pursuant to clause (i) of the definition thereof) and Products offered to individual participants (other than COBRA or conversion policies), but excluding Products within the commercial line of business of any such HMO Subsidiary.
New Line of Business means any business other than the chemistry synthesis outsourcing services business in which the Company is authorized to engage as approved by the Board (with the affirmative vote of at least one of the Series A Directors).
New Line of Business means any service requested by Chordiant that does not fall under a Line of Business, and that requires resource types not already provided for under the Agreement, and where the existing pricing cannot be applied.

Examples of New Line of Business in a sentence

  • That, from December 17, 1987 through December 31, 1997, each of Hallwood Energy Partners, L.P., a Delaware limited partnership and EDP, as such entities existed prior to their merger in 1990, and the Partnership for all times thereafter, did not and will not add any Substantial New Line of Business.

  • Chordiant may from time to time during the Term and the Termination Assistance Period request that Supplier perform services under a New Line of Business.

  • Supplier’s charges and fees specified in any New Line of Business Proposal shall be no more than the charges and fees Chordiant is paying at that time for the Services Supplier is providing under this Agreement.

  • Discontinued Operation & Commencement of New Line of Business activities a.

  • In the event Chordiant contracts with a third party, which is not a direct competitor of Supplier’s, to perform any services under a New Line of Business, Supplier shall cooperate in good faith with Chordiant and any such third party with respect to the provision or receipt of such service, including as specified in Section 4.5.

  • Any increase in the EDC Personnel in accordance with this section shall be in Chordiant’s sole discretion and shall not be considered a New Line of Business.

  • The charges and fees for services under a New Line of Business shall take into account resources and expenses of Supplier for then-existing Services that would no longer be required if the services thereunder were performed by Supplier.

  • Nothing in this Agreement shall be construed as a requirements contract, and notwithstanding anything to the contrary contained herein, this Agreement shall not be interpreted to prevent Chordiant from obtaining from third parties, or providing to itself, any of the Services described in this Agreement (whether Base Services, services under a New Line of Business, or otherwise) or services similar thereto.

  • Among the characteristics that could indicate a prohibited arrangement, as described in the Advisory Bulletin, are the following:  New Line of Business.

  • The security interest granted by this Agreement secures the reimbursement for certain payments made by the Pledgee in connection with the Sakhalin Project pursuant to the Sakhalin Agreement dated August 12, 1997, as subsequently may be amended from time to time (hereinafter the "Obligations") in the event that the Pledgee does not receive approval from a majority of the shareholders of the Company ("Shareholder Approval") to enter into the New Line of Business at a Special Meeting of Shareholders.

Related to New Line of Business

  • Line of Business means any of the following services provided by the Contractor: Residential

  • Permitted Line of Business as defined in Section 7.14(a).

  • Eligible Line of Business means any business engaged in as of the date of this Agreement by the Borrower or any of its Subsidiaries.

  • Terms of Business means Jersey Post’s Terms of Business, a copy of which is available at www.jerseypost.com, as amended from time to time.

  • direct line means either an electricity line linking an isolated generation site with an isolated customer or an electricity line linking an electricity producer and an electricity supply undertaking to supply directly their own premises, subsidiaries and eligible customers;

  • Business location means a location where the firm carries out an activity that requires registration, and includes a residence if regular and ongoing activity that requires registration is carried out from the residence or if records relating to an activity that requires registration are kept at the residence;

  • Class of business means all or a distinct grouping of small employers as shown on the records of the small employer carrier.

  • Healthcare Facility means that portion of the Project operated on the Land as a Nursing Home, Intermediate Care Facility, Board and Care Home, Assisted Living Facility and/or any other healthcare facility authorized to receive insured mortgage financing pursuant to Section 232 of the National Housing Act, as amended, including any commercial space included in the facility.

  • Project Location means the points or areas designated as such on Exhibit A and located on the ground by reference to points, stations, natural land features, improvements, or area boundary signs. STATE means the Oregon Department of Forestry, State Forester, or a duly Authorized Representative of the State Forester.

  • Business Line is an Embarq-owned switched access line used to serve a business customer, whether by Embarq or by a competitive LEC that leases the line from Embarq. The number of Business Lines in a Wire Center shall equal the sum of all Embarq business switched access lines, plus the sum of all UNE loops connected to that Wire Center, including UNE loops provisioned in combination with other unbundled elements. Among these requirements, Business Line tallies (1) shall include only those access lines connecting end-user customers with Embarq end-offices for switched services, (2) shall not include non-switched special access lines, (3) shall account for ISDN and other digital access lines by counting each 64 kbps-equivalent as one line. For example, a DS1 line corresponds to twenty-four (24) 64 kbps-equivalents, and therefore to twenty-four (24) “Business Lines.”

  • Business Facility means any property including the land, improvements, indoor air, groundwater, and surface water that is or at any time has been owned, operated, occupied, controlled or leased by the Company, its Subsidiaries or any of their predecessors in connection with the operation of their respective business.

  • Core Business means any material line of business conducted by the Company and its Subsidiaries as of the Closing Date and any business directly related thereto.

  • Increased Facility Closing Date any Business Day designated as such in an Increased Facility Activation Notice.
