Net Escrow Amount definition

Net Escrow Amount means the Escrow Amount (as defined in Section 3.1) less the Cash Placement Agent Fee (as defined in Section 5.20) and the Placement Agent Counsel Fees (as defined in Section 10.5).

Net Escrow Amount means, at any time, the USD equivalent of the Cash Escrow Amount plus any accrued interest thereon less any amounts withdrawn or transferred from the Cash Escrow Account for or in respect of Permitted Leakage or Permitted NBWD Withdrawals at that time.

Net Escrow Amount has the meaning set forth in Section 3(a).

Examples of Net Escrow Amount in a sentence

• Upon satisfaction of the conditions to Closing set forth in Section 7 hereof, the Company and the Placement Agent shall jointly instruct Placement Agent Counsel to release (i) the Net Escrow Amount to the Company (the date of receipt of the Net Escrow Amount by the Company is hereinafter referred to as the “Closing Date”), (ii) the Cash Placement Agent Fee to the Placement Agent and (iii) the Placement Agent Counsel Fees to Placement Agent Counsel.

• The Company hereby authorizes the Placement Agent Counsel to release from the Escrow Amount, at the Closing, without further action or deed, the (i) Cash Placement Agent Fee (as defined in Section 5.20), the (ii) Placement Agent Counsel Fees, and (iii) the Net Escrow Amount.

• Upon the Closing, such amount (together with interest earned thereon), net of fees, expenses and other charges of the Escrow Agent (the "Net Escrow Amount"), will be applied toward the Purchase Price.

• The Company hereby authorizes the Placement Agent Counsel to release from the Escrow Amount, at the Closing, without further action or deed (other than receipt of the written instructions from the Company and the Placement Agent authorizing the release of the Escrow Amount), the (i) Cash Placement Agent Fee (as defined in Section 3.1(u)) to the Placement Agent, and (ii) the Net Escrow Amount to the Company.
