Minimum Term definition

Minimum Term means each minimum initial and subsequent period of service for each Service as shown on the Service Agreement and Order Schedule, the initial period to start on the date on which the relevant Service is first made available to you for use. For the avoidance of doubt, unless otherwise agreed or if not stated on the Service Agreement or order schedules, the Minimum Term will be 12 months or such other period as may be notified to you in accordance with paragraph 19.2.

Examples of Minimum Term in a sentence

• In the event of any termination of this agreement during any agreed Minimum Term, the whole of the Subscription Fees and other fees for Services (together with VAT thereon) payable with respect to such Minimum Term shall become immediately due and payable.

• Following the expiry of the Minimum Term, the Contract for the provision of the service(s) shall automatically renew for successive periods of 1 month unless either party serves on the other not less than three months’ written notice of termination, such notice to expire at the end of the minimum term or an anniversary of the date on which the minimum term expires.

• In the event of any termination of this Agreement during any Renewal Period or Minimum Term If applicable, the whole of the Subscription Fees and other fees for Services (together with VAT thereon) payable with respect to such Renewal Period or applicable Minimum Term shall become immediately due and payable.

• In the event of any termination of this agreement during any agreed Minimum Term, the whole of the Subscription Fees (together with VAT thereon) payable with respect to such Minimum Term shall become immediately due and payable.

More Definitions of Minimum Term

Minimum Term means the initial period of this Agreement as specified in the Commercial Schedule and if not specified shall be the period from the Commencement Date until the expiry of the last Minimum Period;
