MATERIAL SERVICE. LEVEL FAILURE" means the Monthly System Availability Commitment (as defined in Exhibit F attached hereto) is missed by five percent (5%) for any two consecutive calendar month period.

Examples of MATERIAL SERVICE in a sentence

  • Following a Material Service Change not acceptable to Participant, Participant may terminate the Agreement pursuant to Section 11.2. If Participant has pre-paid to MX any Subscription Fees that have not yet been earned by MX as of the date of termination, MX shall repay to Participant those unearned Fees.

  • MX may in its sole discretion implement a Material Service Change after providing at least ninety (90) days prior written notice of the change to Participant.

  • Any modification or amendment to the Agreement must be in writing and signed by the Parties, except that the Policies, DSG, Terms, Fee Schedule and Material Service Changes may be modified as set forth in the Agreement.

  • essential service means furnishing water, light, heat, gas, electric power, public passenger transportation or commu- nication, or any one or more of them, to the public in this state.

  • Non-Participating Home Infusion Therapy Provider means a Home Infusion Therapy Provider who does not have a written agreement with the Claim Administrator or another Blue Cross and/or Blue Shield Plan to provide services to you at the time services are rendered.

  • Contractual Service means the rendering by a contractor of its time and effort rather than the furnishing of specific commodities. The term applies only to those services rendered by individuals and firms who are independent contractors. Contractual Services do not include auditing services, Maintenance Services, or Professional Services as defined in Section 287.055(2)(a) of the Florida Statutes, and these Rules. Contractual Services also do not include any contract for the furnishing of labor or materials for the construction, renovation, repair, modification, or demolition of any facility, building, portion of building, utility, park, parking lot, or structure or other improvement to real property entered into pursuant to Chapter 255 of the Florida Statutes, and Rules 3.5 or 3.6.

  • Fire Service means any deployment of firefighting personnel and/or equipment to extinguish a fire or perform any preventative measure in an effort to protect equipment, life, or property in an area threatened by fire. It also includes the deployment of firefighting personnel and/or equipment to provide fire suppression, rescue, extrication, and any other services related to fire and rescue as may occasionally occur.

  • Material Group Company means the Issuer or a Subsidiary representing more than 10.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the EBITDA of the Group on a consolidated basis according to the latest Financial Report.

  • Material Customer has the meaning set forth in Section 3.21(a).

  • Medical service means any medical treatment or any medical, surgical, diagnostic, chiropractic, dental, hospital, nursing, ambulances, and other related services, and drugs, medicine, crutches and prosthetic appliances, braces and supports and where necessary, physical restorative services.
