Lending Group Members definition

Lending Group Members means the collective reference to (a) the Lenders party to this Agreement and (b) the lenders party to the Five Year Credit Agreement.

If, for any reason, such rate does not appear on Dow Jones Market Screen 3750, then "LXXXX" shall be determined by the Administrative Agent to be the arithmetic average (rounded upward, if necessary, to the nearest one-hundredth of one percent (1/100%)) of the rate per annum at which deposits in Dollars would be offered by the Reference Group in the London interbank market to 7 <PAGE> 8the Administrative Agent as of approximately 11:00 a.m. (London time) two (2) Business Days prior to the first day of the applicable Interest Period for a period equal to such Interest Period and in an amount substantially equal to the amount of the applicable Revolving Credit Loan.
