KKR Stockholder definition

KKR Stockholder means KKR Phoenix Aggregator L.P., an investment entity owned by investment funds and other entities affiliated with Kohlberg Kravis Xxxxxxx & Co. L.P.
KKR Stockholder means KKR and any of its Permitted Transferees that has become a Stockholder in accordance with this Agreement.
KKR Stockholder means KKR Vision Aggregator LP and its Permitted Transferees.

  • In connection with the provisions of this Section 3, (i) the KKR Stockholder shall have an unlimited number of Demand Notices which they are permitted to deliver (or cause to be delivered) to the Corporation hereunder and (ii) the Berkshire Stockholder shall be entitled to deliver (or cause to be delivered) to the Corporation no more than two (2) Demand Notices pursuant to Section 3(a)(ii).

  • Notwithstanding anything to the contrary in this Agreement, unless otherwise consented to by the KKR Stockholder, in connection with a Demand Notice for an Initial Public Offering, the Corporation shall only be required to deliver any Notice or Piggyback Notice as provided in clause (i) of the second paragraph of Section 4(a).

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Principal Stockholder Transferee means any Person who acquires voting stock of the Corporation from the Principal Stockholder (other than in connection with a public offering) and who is designated in writing by the Principal Stockholder as a “Principal Stockholder Transferee.”
