Issuer Manager means AGM Management, LLC, a limited liability company formed under the laws of the State of Delaware and the manager of the Issuer, or any successor manager of the Issuer.

  • Any solicitation of such notices or consent shall be in writing and be delivered by the Issuer, Manager or Note Trustee, as applicable, seeking such notice or consent from the Class A Noteholders to the Principal Paying Agent, who shall deliver the foregoing to the appropriate Class A Noteholders.

  • The Principal Paying Agent shall notify the Issuer, Manager and Note Trustee of the results of any such solicitations of consent.

  • Issuer Representative means the person or persons at the time designated to act on behalf of the Issuer by written certificate furnished to the Company and the Trustee containing the specimen signatures of such person or persons and signed on behalf of the Issuer by its duly authorized agent. Such certificate may designate an alternate or alternates.

  • Issuer Group is defined in Section 10.02(d).

  • Sub-Manager Any Person with which the Property Manager or the Special Servicer has entered into a Sub-Management Agreement.

  • Issuer Trustees means, collectively, the Property Trustee and the Delaware Trustee.

  • Issuer Call means termination of the Securities by the Issuer in accordance with Product Condition 3;

  • Corporate Representative means an Individual authorised by resolution of the directors or other governing body of a body corporate to represent it;

  • Investment adviser representative means an individual employed by or associated with an investment adviser or federal covered investment adviser and who makes any recommendations or otherwise gives investment advice regarding securities, manages accounts or portfolios of clients, determines which recommendation or advice regarding securities should be given, provides investment advice or holds herself or himself out as providing investment advice, receives compensation to solicit, offer, or negotiate for the sale of or for selling investment advice, or supervises employees who perform any of the foregoing. The term does not include an individual who:

  • Collateral Manager The meaning specified in the Preamble.

  • Owner Trustee means Wilmington Trust Company, a Delaware trust company, not in its individual capacity but solely as owner trustee under this Agreement, and any successor Owner Trustee hereunder.
