The Collateral Manager ▇▇▇▇▇▇ accepts such appointment and agrees to perform the duties and obligations with respect thereto as set forth herein.
Any such determination permitting the resignation of the Collateral Manager shall be evidenced as to clause (i) above by an Opinion of Counsel to such effect delivered to the Administrative Agent.

The Borrower hereby appoints the Collateral Manager as its agent to manage the Collateral and enforce its rights and remedies in, to and under such Collateral.
