The Company will reimburse Lead Manager directly upon the Closing of the Placement from the gross proceeds raised in the Placement.
Upon commencement of the offering of the Shares under this Agreement (and upon the recommencement of the offering of the Shares under this Agreement following the termination of a suspension of sales hereunder lasting more than thirty (30) Trading Days), and at each Representation Date, the Company will conduct a due diligence session, in form and substance, reasonably satisfactory to the Lead Manager, which shall include representatives of management, Accountants and Company Counsel.

The gross sales price of the Shares sold under this Section 3(b) shall be the market price for the Common Shares sold by the Lead Manager under this Section 3(b) on the Trading Market at the time of sale of such Shares.
Subject to the terms and conditions hereof, the Lead Manager shall use its commercially reasonable efforts consistent with its normal trading and sales practices to sell on a particular day all of the Shares designated for the sale by the Company on such day.
