Investor Related Parties has the meaning set forth in Section 6.01 of this Agreement.
Investor Related Parties means, collectively, (i) all Subsidiaries of the Investor, (ii) Axa Assurances I.A.R.D. Mutuelle, Axa Assurances Vie Mutuelle, La Mutuelle Generale Assurances Risques Divers, Uni Europe Assurance Mutuelle, Alpha Assurances Vie Mutuelle, La Nouvelle Mutuelle Assurance, FINAXA, Midi Participations, A.N.F., and their respective Subsidiaries (other than the Investor), (iii) any other person of which the Investor is or becomes a Subsidiary and (iv) each person of which voting securities or other ownership interests representing 25% or more of the ordinary voting power are owned by the Investor or one or more Subsidiaries of the Investor or a combination thereof, which person is not a Subsidiary of the Investor but is actually controlled by the Investor.
Investor Related Parties means, as applicable, any member of, or collectively, among Broad Street Principal Investments, L.L.C., a Delaware limited liability company, MBD 2013 Holdings, L.P., a Cayman Islands exempted limited partnership, and Bridge Street 2013 Holdings, L.P., a Cayman Islands exempted limited partnership, The Goldman Sachs Group, Inc., any GS Partner, and each of their respective Affiliates, and, in the case of each of the foregoing, each of their respective general partners, managers, directors, and employees.

Neither the Investor nor any of the Investor Related Parties is supporting or involved with the Anti-Social Forces in their existence or activity by providing funds or any other acts, or associating with such Anti-Social Forces.
Other than the provisions of this letter agreement that refer to Investor Related Parties (each of which shall be for the benefit of and enforceable by each Investor Related Party), this letter agreement may only be enforced by (a) Wheatsheaf; (b) Ostara US and Ostara Parent, at the direction of Wheatsheaf; or (c) Ostara US, as required pursuant to an order of specific performance obtained by the CWS pursuant to Section 12.5 of the Offtake Agreement.

The provisions of this Section 10 are intended to be for the benefit of, and enforceable by, the Investor Related Parties and each such Investor Related Party shall be a third- party beneficiary of this Section 10, and, for such purpose, Xxxxxx Xxxxxx confirms that it is acting as trustee on behalf of such Investor Related Party and agrees to enforce such provisions on their behalf. This Section 10 shall be binding on all successors and permitted assigns of Ostara US and Ostara Parent and shall survive the termination of this letter agreement. Ostara US and Ostara Parent’s remedies against Wheatsheaf under this letter agreement shall, and are intended to, be the sole and exclusive direct or indirect remedies available to Ostara US and Ostara Parent against Wheatsheaf in respect of any liabilities or obligations arising under, or in connection with, the Offtake Agreement and the transactions contemplated thereby, including in the event that Ostara US breaches its obligations under the Offtake Agreement. This letter agreement is solely for the benefit of Ostara US and Ostara Parent and is not intended to, nor does it, confer any benefits on, or create any rights or remedies in favor of, any person or Entity other than Ostara US and Ostara Parent and Wheatsheaf, except for the provisions of this letter agreement which refer to Investor Related Parties (each of which shall be for the benefit of and enforceable by each Investor Related Party).
