IGT Documents definition

IGT Documents means, collectively, those certain Health Care Facility Sublease Agreements, Management Agreements, Intangible Property License Agreements, Loan Agreements, Operations Transfer Agreements and Assignment and Assumption of Admission Agreements to which Borrowers or HUD Owners, as the case may be, and the IGT Hospitals are parties, and the agreements, instruments and other documents executed in connection therewith by such parties, each of which is in form and substance reasonably satisfactory to Administrative Agent.

Examples of IGT Documents in a sentence

  • Tenant and Subtenant of the New Haven Facility shall not modify, or issue a consent or waiver in connection with, any of the IGT Documents, provided, however, that Tenant and Subtenant may terminate the IGT documents.

  • Tenant and the New Haven Facility Subtenant acknowledge that, notwithstanding the IGT Restructuring and the IGT Documents, Tenant and the New Haven Facility Subtenant are liable for all obligations of Tenant and the New Haven Facility Subtenant under the Lease Documents.

  • Tenant and Subtenant shall deliver to Landlord within three Business Days any notice of default issued by or received by Tenant or the New Haven Facility Subtenant under the IGT Documents.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.

  • Relevant Documents has the meaning specified in Section 11.02.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Project Documents means all documents relating to the Construction Loan, Mortgage Loan and Construction Contract. It shall also include all documents required by any governmental agency having jurisdiction over the Apartment Housing in connection with the development, construction and financing of the Apartment Housing, including but not limited to, the approved Plans and Specifications for the development and construction of the Apartment Housing.

  • Term Documents means the Term Credit Agreement, the Term Guaranties, the Term Collateral Documents, any Term Hedging Agreements between any Term Loan Party and any Term Hedging Affiliate, those other ancillary agreements as to which the Term Agent or any Term Lender is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Term Loan Party or any of its respective Subsidiaries or Affiliates, and delivered to the Term Agent, in connection with any of the foregoing or any Term Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • Procurement Documents means the procurement documents attached hereto as Schedule F (if any);

  • Amendment Documents means this Amendment, the Credit Agreement (as amended by this Amendment), and each certificate and other document executed and delivered by the Borrowers pursuant to Section 5 hereof.

  • Aircraft Documents means all flight records, maintenance records, historical records, modification records, overhaul records, manuals, logbooks, authorizations, drawings and data relating to the Airframe, any Engine, or any Part, or that are required by Applicable Law to be created or maintained with respect to the maintenance and/or operation of the Aircraft.

  • Credit Agreement Documents means the collective reference to any Credit Agreement, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Material Documents has the meaning set forth in Section 5.23.

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.
