Holdings Rights Plan definition

Holdings Rights Plan means the Rights Agreement between Holdings and The Bank of New York, as Rights Agent, dated as of November 28, 1995, as the same may be amended, modified or supplemented from time to time pursuant to the terms hereof and thereof.
Holdings Rights Plan means rights issued under the Holdings Unit Purchase Rights Agreement dated as of December 3, 2008 and such plan, respectively.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Restricted Stock Unit Agreement means the agreement consistent with the terms of the Plan between the Company and the recipient of a Restricted Stock Unit that contains the terms, conditions and restrictions pertaining to such Restricted Stock Unit.

  • Stockholder Agreement means the Stockholder Agreement, dated as of August 29, 2003, among the Company and its stockholders, as amended and in effect from time to time.

  • Parent Equity Plan shall have the meaning set forth in Section 4.6.
