Parent Capital Stock definition

Parent Capital Stock has the meaning set forth in Section 4.4(b).
Parent Capital Stock means (i) all classes or series of outstanding capital stock of Parent for U.S. federal income Tax purposes, including common stock and all other instruments treated as outstanding equity in Parent for U.S. federal income Tax purposes, and (ii) all options, warrants and other rights to acquire such capital stock.

  • The Required Parent Stockholder Vote is the only vote of the holders of any class or series of Parent Capital Stock required under applicable Law, Parent’s Certificate of Incorporation or Parent’s bylaws with respect to the Contemplated Transactions.

More Definitions of Parent Capital Stock

Parent Capital Stock means, collectively, the Parent Common Stock, the Parent Preferred Stock and any other class or series of capital stock of Parent.
