Greenlight Authority definition

Greenlight Authority means the personal authority required to cause Holding Company to undertake any of the following activities: (a) with respect to any Motion Picture, the financing and production of such Motion Picture, or (b) only with respect to Motion Pictures initially produced for Theatrical Exhibition, the acquisition of such Motion Picture, or (c) only with respect to Television Motion Pictures, the procurement of financing of such Television Motion Picture from a third party. For avoidance of doubt, the term “Greenlight Authority” as used in this License Agreement refers to the authority without which Holding Company cannot undertake the above activities, but does not include the authority to direct the activities of any other party whose approval may also be required to cause Holding Company to undertake such activities (i.e., Greenlight Authority is necessary, but not necessarily sufficient, to cause Holding Company to undertake such activities).
Greenlight Authority as used in this Amendment (and only for such purposes and not for any other purpose in the License Agreement), means the personal authority required to cause an Additional Sublicensee (as defined below) to undertake the following activities:
Greenlight Authority means the personal authority required to cause Holding Company and the Holding Company Subsidiaries to undertake any of the following activities: (a) with respect to any Motion Picture, the financing and production of such Motion Picture, or (b) only with respect to Motion Pictures initially produced for Theatrical Exhibition, the acquisition of such Motion Picture, or (c) only with respect to Television Motion Pictures, procurement of financing of such Television Motion Picture from a third party. For avoidance of doubt, the term “Greenlight Authority” as used in this Sublicense Agreement refers to the authority without which Holding Company or any Holding Company Subsidiary cannot undertake the above activities, but does not include the authority to direct the activities of any other party whose approval may also be required to cause Holding Company or a Holding Company Subsidiary to undertake such activities (i.e., Greenlight Authority is necessary, but not necessarily sufficient, to cause Holding Company and the Holding Company Subsidiaries to undertake such activities).

Related to Greenlight Authority

  • Host Authority means the local authority appointed by the Parties under these arrangements to lead on a specified matter or function as set out in paragraphs 14 and 19.

  • Airport Authority means any city or any public or private board or other body or organization chartered or otherwise established for the purpose of administering, operating or managing airports or related facilities, which in each case is an owner, administrator, operator or manager of one or more airports or related facilities.

  • Port Authority means the port authority to be created pursuant to subclause (1) of Clause 13;

  • Management Authority means a national management authority designated in accordance with Article IX;

  • Development Authority means the New Jersey Schools

  • Virginia Stormwater Management Program authority or "VSMP authority" means an authority approved by the State Board after September 13, 2011, to operate a Virginia Stormwater Management Program.

  • Contract Authority means the Board of Supervisors or the head of the department or agency presenting the proposed contract to the Board of Supervisors.

  • Football Authority means each of the Premier League, The Football League, The Football Association, The Football Association of Wales, FIFA, UEFA and other relevant governing body of association football.

  • Investment authority means the responsibility conferred by action of law or a provision of an appropriate governing instrument to make, select or change investments, review investment decisions made by others, or to provide investment advice or counsel to others;

  • Authority System means the Authority’s computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Authority or the Contractor in connection with this Contract which is owned by or licensed to the Authority by a third party and which interfaces with the Contractor System or which is necessary for the Authority to receive the Services.

  • Competent Authority and ‘Appellate Authority’ shall mean the following:

  • Regional authority means the Director General of Foreign Trade appointed under section 6 of the Foreign Trade (Development and Regulation) Act, 1992 (22 of 1992) or an officer authorised by him to grant an authorisation including a duty credit scrip under the said Act.

  • Qualified airport authority means an airport authority

  • Michigan state housing development authority means the public body corporate and politic created by Section 21 of the State Housing Development Authority Act of 1966, 1966 PA 346, MCL 125.1421.

  • Central Authority means the entity designated by the United States or a foreign country described in section 102(e)(iv) to perform the functions specified in the Convention.

  • Authority or Housing Authority (HA means the Housing Authority.

  • Regional body means the members of the council and the premiers of Ontario and Quebec or their designee as established by the agreement.

  • Highway authority means the state highway commission, a board of county road commissioners or the governing body of a city or village.

  • Franchising Authority means any Governmental Authority authorized by any federal, state or local law to grant a Franchise or to exercise jurisdiction over the rates or services provided by a cable television system pursuant to a Franchise or over Persons holding a Franchise.

  • Approval Authority means the authority of a Member State with competence for all aspects of the approval of a type of vehicle, system, component or separate technical unit or of the individual approval of a vehicle; for the authorisation process, for issuing and, if appropriate, withdrawing approval certificates; for acting as the contact point for the approval authorities of other Member States; for designating the technical services and for ensuring that the manufacturer meets his obligations regarding the conformity of production;

  • national competent authority means one or more entities designated by a Member State and having the necessary powers and allocated responsibilities for performing the tasks related to certification, oversight and enforcement in accordance with this Regulation and with the delegated and implementing acts adopted on the basis thereof, and with Regulation (EC) No 549/2004.

  • Culinary water authority means the department, agency, or public entity with

  • Pioneer or the "Company" means Pioneer Natural Resources Company and its subsidiaries.

  • national authority means an approval authority or any other authority involved in and responsible for market surveillance, border control or registration in a Member State in respect of vehicles, systems, components, separate technical units, parts or equipment;

  • Water Authority means the body corporate known as the Water Authority of Western Australia established by the Water Authority Xxx 0000;

  • MPCA means the Minnesota Pollution Control Agency or Minnesota Pollution Control Agency staff as delegated by the Minnesota Pollution Control Agency.
