Fee and Cost Award definition

Fee and Cost Award means the amount of Attorneys’ Fees and Costs, if any, awarded by the Court to Class Counsel pursuant to a motion made under Section 10 herein, which will be paid out of the Settlement Amount.

Fee and Cost Award means such award of fees and actual litigation 23 costs/expenses as the Court may award to Class Counsel for the services they have rendered and 24 will render to Plaintiff, the Class, the LWDA, and the Aggrieved Employees in relation to 25 prosecuting the claims involved in this Action, which will be paid out of the Cash Payment 26 Amount and which is agreed by the Parties not to exceed twenty-five percent (25%) of the 27 Maximum Settlement Amount as the Fee Award, in addition to reasonable actual expenses, not 1 to exceed $35,000, as the Cost Award. Any portion of the Fee and Cost Award not awarded to 2 Class Counsel shall become part of the Net Cash Distribution.

Examples of Fee and Cost Award in a sentence

  • As part of the Motion for Final Approval, Class Counsel will move for approval of a Fee and Cost Award.

  • The Fee and Cost Award shall be paid from the Settlement Amount, with no further obligation by BPPR.

  • Any Fee and Cost Award shall be available to be distributed from the Settlement Amount for distribution by the Settlement Administrator to Class Counsel in accordance with this Agreement, within 14 days after the Effective Date.

  • The Settlement Amount represents the total extent of BPPR’s monetary obligations under this Settlement Agreement and includes all sums to be paid under this Settlement as the consideration to eligible Settlement Class Members, including a Service Award, if any, the Fee and Cost Award, if any, and any all Settlement Administration Costs.

  • The Settlement Amount shall be applied as follows: to pay all Settlement Administration Costs; to pay any other Court-approved fees and expenses; to distribute the Net Settlement Fund to Settlement Class Members; to pay the Fee and Cost Award; and to pay the Service Award.

  • Notwithstanding this paragraph, the Court’s determination as to the motion for Fee and Cost Award and Service Award and/or any plan of distribution, or any determination on appeal from any such order, shall not provide grounds for termination of this Settlement Agreement or Settlement.

  • Any Fee and Cost Award shall be available to be distributed from the Settlement Amount for distribution to Class Counsel in accordance with this Settlement Agreement within five (5) business days after the Effective Date by the Settlement Administrator.

  • The Fee and Cost Award shall be paid from the Settlement Amount, with no further obligation by XXXX.

  • The Settlement Amount shall be applied as follows: To pay all Settlement Administration Expenses; to pay any other Court-approved fees and expenses; to distribute the Net Settlement Fund to Settlement Class Members; to pay the Fee and Cost Award; and to pay the Service Award.

  • The Settlement Administrator shall determine the total amount of money available for payout to Settlement Class Members, which is the Gross Settlement Amount less (1) the court-approved Attorney’s Fee and Cost Award, and (2) Administration Costs.

Related to Fee and Cost Award

  • Fee and Expense Award means award(s) by the Court to Settlement Class Counsel for reasonable attorneys’ fees and reimbursement of reasonable costs and expenses incurred in the prosecution of the Action, including any interest accrued thereon.

  • System for Award Management (XXX) means the Federal repository into which an Entity must enter the information required under the Transparency Act, which may be found at xxxx://xxx.xxx.gov.

  • Performance Standards or “PS” shall mean the cleanup levels and other measures of achievement of the remedial action objectives, as set forth in the ROD.

  • Award means, individually or collectively, a grant under the Plan of Options, Stock Appreciation Rights, Restricted Stock, Restricted Stock Units, Performance Units or Performance Shares.

  • Capacity Performance Resource means a Capacity Resource as described in Tariff, Attachment DD, section 5.5A(a).

  • Performance Standard means the acceptable range of performance for a Performance Indicator or a Service Volume that results when a Performance Corridor is applied to a Performance Target.

  • Key Performance Indicator means a measure that captures the performance of a critical variable to expand and improve community-based corrections programs to promote offender success, ensure accountability, enhance public safety, and reduce recidivism.

  • Extreme performance coating means coatings designed for harsh exposure or extreme environmental conditions.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Service Award means any Court ordered payment to Plaintiff for serving as Class Representative, which is in addition to any payment due to Plaintiff as a Settlement Class Member.

  • Arbitration Award shall have the meaning given such term in Section 22.5.

  • PIP means personal injury protection coverage provided as part of an automobile insurance policy issued in New Jersey. PIP refers specifically to provisions for medical expense coverage.

  • Performance Bonus means the performance bonus in respect of each Class payable to the General Partner by the Partnership which will be equal to 20% of the product of: (a) the number of Units of that Class outstanding on the Performance Bonus Date; and (b) the amount by which the Net Asset Value per Unit of that Class on the Performance Bonus Date (prior to giving effect to the Performance Bonus) plus the aggregate value of all distributions per Unit of that Class during the Performance Bonus Term exceeds $25.00.

  • Fee Award means the amount of attorneys’ fees and reimbursement of costs and expenses awarded by the Court to Class Counsel.

  • Direct Award Criteria means the award criteria to be applied for the award of Call-Off Contracts for Standard Services set out in Part 1 of Schedule 6 (Award Criteria) of this Framework Agreement;

  • Performance Letter of Credit means any Letter of Credit of the Borrower or a Guarantor that is issued for the benefit of a municipality, other governmental authority, utility, water or sewer authority, or other similar entity for the purpose of assuring such beneficiary of the Letter of Credit of the proper and timely completion of construction work.

  • Performance evaluation means evaluation of work and program participation as well as other areas of behavior.

  • performance requirement means a requirement that:

  • Arbitral award or decision means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

  • Performance Limits means the performance limits specified in the section of this Certificate titled Performance Limits.

  • Key Performance Indicators or “KPIs” means the performance measurements and targets set out in Part 3 of Schedule 1 (Services) of this Framework Agreement;

  • Performance Assurance means collateral in the form of cash, letters of credit, or other security acceptable to the requesting Party.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • System for Award Management (SAM means the primary Government repository for prospective Federal awardee and Federal awardee information and the centralized Government system for certain contracting, grants, and other assistance-related processes. It includes—

  • energy performance contracting means a contractual arrangement between the beneficiary and the provider of an energy efficiency improvement measure, verified and monitored during the whole term of the contract, where investments (work, supply or service) in that measure are paid for in relation to a contractually agreed level of energy efficiency improvement or other agreed energy performance criterion, such as financial savings;

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).
