Emerald Documents definition

Emerald Documents means the (a) Emerald Agreement, (b) each mortgage, security agreement, pledge agreement, guaranty or similar agreement entered into by any Person in favor or for the benefit of Hxxxx or any of its affiliates to secure, guarantee or otherwise provide credit support for the Emerald Obligations, and (c) each of the other agreements, documents or instruments evidencing or governing any Emerald Obligations, in each case, as amended, supplemented or otherwise modified from time to time.

Examples of Emerald Documents in a sentence

  • This Agreement, the Emerald Documents, the Emerald Financial Statements and all other documents necessary or reasonably required to consummate the Transaction, all in form and substance reasonably satisfactory to EPHS Holdings, will have been executed and delivered to EPHS Holdings.

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Bond Documents means the Bonds, the Indenture, the Loan Agreement, the Remarketing Agreement, the Remarketing Circular, and all amendments and supplements thereto.

  • Seller Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Acquisition Documents means the Acquisition Agreement and any other documents executed or issued, or to be executed or issued, by or on behalf of the Target and/or Horizon in respect of the Acquisition (but excluding the Loan Documents).

  • Assigned Documents has the meaning assigned to that term in Section 2.12.

  • Transfer Documents shall have the meaning set forth in Section 2.1(b).

  • Purchase Documents The mortgage purchase agreements between Xxxxxxx Mac and its Mortgage sellers and servicers, which are the contracts that govern the purchase and servicing of Mortgages and which include, among other things, the Guide and any negotiated modifications, amendments or supplements to the Guide.

  • Related Agreements shall have the meaning specified in the recitals to the Administration Agreement.

  • Closing Documents means the papers, instruments and documents required to be executed and delivered at the Closing pursuant to this Agreement;

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • Operative Documents means the Purchase Agreement, the Indenture, the Trust Agreement, the Notes and the Trust Securities.

  • Ancillary Documents means each agreement, instrument or document attached hereto as an Exhibit, and the other agreements, certificates and instruments to be executed or delivered by any of the Parties hereto in connection with or pursuant to this Agreement.

  • Agreement Documents means the instructions to proponents, scope of service, addenda, response to the RFP, and the acceptance of proposal together with all subsequently negotiated agreements, written amendments, modifications, and supplements to such documents and all written authorizations signed by the administrator(s) amending, deleting, or adding to the contract.
