Eligible Unvested Options definition

Eligible Unvested Options means options to purchase shares of our Common Stock under the Company Option Plan that are held by an employee that are not exercisable, and will not become exercisable, on or prior to September 26, 2005, and that remain outstanding on the Expiration Date.

  • You must make your own decision whether to amend and accelerate your Eligible Unvested Options.

  • Any confirmation of receipt sent to you before the Expiration Date will merely be a notification that we have received your Acknowledgement and Election Form and does not mean that your Eligible Unvested Options have been amended and accelerated.

  • We will publish a notice if we decide to take any of the following actions: • increase or decrease the considerations Offered in return for your Election to Amend and Accelerate; or • increase or decrease the number of Eligible Unvested Options to be amended and accelerated in the Offer.

Related to Eligible Unvested Options

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Director Option means an Option granted pursuant to Section 6.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Stock Options means the collective reference to "Incentive Stock Options" and "Other Stock Options".

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.

  • Company Stock Options means any option to purchase Company Common Stock pursuant to any Company Stock Plans.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Rollover Options has the meaning provided in Subsection 3.1(h).

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Incentive Shares means an award of shares granted pursuant to Section XIII.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Eligible Shares means each Share issued and outstanding immediately prior to the Effective Time, other than (a) subject to the last sentence of Section 4.2(f), any Excluded Shares, and (b) any Company Restricted Shares.

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.

  • INDEPENDENT STOCK APPRECIATION RIGHT or "INDEPENDENT RIGHT" means a right granted pursuant to subsection 8(b)(3) of the Plan.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Optioned Stock means the Common Stock subject to an Option.

  • Unvested Units means those Units listed as unvested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.
