Eligible Shares definition

Eligible Shares has the meaning set forth in Section 1.6(c).
Eligible Shares has the meaning assigned to such term in Section 4.1(a).
Eligible Shares means, other than any Excluded Shares, each Share issued and outstanding immediately prior to the Effective Time.

  • Any holder of Eligible Shares who has not theretofore complied with the procedures, materials and instructions contemplated by this Section 4.2 shall thereafter look only to the Surviving Corporation as a general creditor thereof for such payments (after giving effect to any required Tax withholdings as provided in Section 4.2(g)) in respect thereof.

  • If any Dissenting Stockholder shall have effectively withdrawn or otherwise waived or lost the right under Section 262 of the DGCL with respect to any Dissenting Shares, such Dissenting Shares shall become Eligible Shares and thereupon converted into the right to receive the Per Share Merger Consideration with respect to such Shares pursuant to this Article IV.

  • From and after the Effective Time, there shall be no transfers on the stock transfer books or ledger of the Company of the Eligible Shares.


More Definitions of Eligible Shares

Eligible Shares means the Shares issued and outstanding immediately prior to the Effective Time, other than (a) subject to the last sentence of Section 4.3(f), any Excluded Shares and (b) any Exit-Vesting Company Restricted Shares.

As of the Effective Time, each of the Company Stock Option Plans and the Company's 1992 Employee Stock Purchase Plan (the "ESPP") shall terminate and be of no further force or effect, and the Company shall take such action as shall be necessary to ensure, to Parent's reasonable satisfaction, that no holder of a Company Stock Option or participant in the ESPP will have any right to acquire any interest in the Surviving Corporation under the Company Stock Option Plans or the ESPP.
Eligible Shares means each share of CCPT V Common Stock outstanding immediately prior to the Merger Effective Time, other than Excluded Shares and the CCPT V Restricted Share Awards.
