Dividend Event definition

Dividend Event has the meaning set forth in Section 4.2 of this Schedule II.
Dividend Event means the date, if any, on which the Company shall pay any dividend on or make any other distribution in respect of its Capital Stock whether in cash, property or obligations of the Company, other than (a) a dividend or other distribution payable solely in the form of its Capital Stock and (b) any dividend or other distribution that is permitted, or equivalent (in type, amount and purpose) to those permitted to be made by TRW Auto, under the terms of the Credit Agreement, the Senior Note Indentures and the Senior Subordinated Note Indentures.
Dividend Event means the public announcement or notification to UBS pursuant to Section 6 below of an ordinary or extraordinary dividend or distribution by the Issuer with a record date occurring in any of the time periods specified below with a value, as determined by the Calculation Agent in good faith, that exceeds the amount specified below for such period by $0.01 or more Period Dividend September 7, 2007 through and including December 7, 2007 $ 0.26 December 7, 2007 through and including February 15, 2008 $ 0.26

  • If at any time during the period from and including the Effective Date to but excluding the Expiration Date a Dividend Event occurs, then the Calculation Agent will adjust the Cap Price to preserve the fair value of the Options to Dealer after taking into account such Dividend Event.


More Definitions of Dividend Event

Dividend Event means the date on which the Board declares the payment of a cash dividend that will result in the aggregate amount of cash dividends paid by the Company on one share of Common Stock during the period beginning on the Grant Date and ending on August 31, 2017 equaling or exceeding $2.50; provided, however, that in the event of a stock dividend, forward split or reverse split, reorganization, merger, consolidation, spin-off, combination, repurchase or share exchange, or other similar corporate transaction or event, the Committee shall adjust such $2.50 threshold as it deems necessary or appropriate to reflect such corporate transaction or event to prevent the enlargement or dilution of rights hereunder.
Dividend Event has the meaning specified in Section 5.3.
Dividend Event means (i) an ex-dividend date for a regular quarterly cash dividend occurs with respect to the Shares (an “Ex-Dividend Date”), and that dividend differs in any respect from the Regular Dividend on a per Share basis or (ii) if no Ex-Dividend Date for a regular quarterly cash dividend occurs with respect to the Shares in any quarterly dividend period of Counterparty. “Regular Dividend” shall mean USD 0.25 per Share per quarter. Dividend Event means that with reference to the later of (i) the two financial years prior to the Trade Date, and (ii) the two financial years prior to the relevant observation date, the ETI has implemented a material change to its practice with respect to the payment of dividends;
