Disclosed Sublease definition

Disclosed Sublease means, in respect of an Aircraft or Engine included as Aircraft Collateral, any lease and/or sublease of that Aircraft to a Disclosed Sublessee that is not an Affiliate of a Borrower as shown in the Aircraft Collateral Certificate.
Disclosed Sublease means, in respect of an Aircraft included as Aircraft Collateral, any lease and/or sublease of that Aircraft as shown in Schedule 3.20.

  • The certificate of airworthiness with respect to an Aircraft in the applicable Country of Registration (other than those subject to a Disclosed Sublease) is not granted or is revoked, suspended, withdrawn or terminated.

  • An event of default (howsoever described) occurs and is continuing under a Disclosed Sublease as a result of any act or omission by any Loan Party or any of their Subsidiaries.

  • Permitted Sublease means a sublease permitted under Section 7.2.7 of the Lease.

  • Company Lease means any lease, sublease, sub-sublease, license and other agreement under which the Company or any of its Subsidiaries leases, subleases, licenses, uses or occupies (in each case whether as landlord, tenant, sublandlord, subtenant or by other occupancy arrangement), or has the right to use or occupy, now or in the future, any real property.

  • Material Lease has the meaning set forth in Section 3.17(a).

  • Material Leasehold Property means a Leasehold Property reasonably determined by Administrative Agent to be of material value as Collateral or of material importance to the operations of Company or any of its Subsidiaries.

  • Company Leases shall have the meaning set forth in Section 3.12(a).

  • Permitted Sublessee means the sublessee under a Permitted Sublease.

  • Property Lease means any Depot Lease, any lease in respect of a Managed Station Area, any lease in respect of Shared Facilities or any Station Lease and any agreement or lease of a similar or equivalent nature (whether in respect of any such facility or otherwise) which the Franchisee may enter into with a person who has an interest in a network or a railway facility which is to be used for or in connection with the provision or operation of the Franchise Services;

  • Governmental Real Property Disclosure Requirements means any Requirement of Law of any Governmental Authority requiring notification of the buyer, lessee, mortgagee, assignee or other transferee of any Real Property, facility, establishment or business, or notification, registration or filing to or with any Governmental Authority, in connection with the sale, lease, mortgage, assignment or other transfer (including any transfer of control) of any Real Property, facility, establishment or business, of the actual or threatened presence or Release in or into the Environment, or the use, disposal or handling of Hazardous Material on, at, under or near the Real Property, facility, establishment or business to be sold, leased, mortgaged, assigned or transferred.

  • Material Leased Real Property shall have the meaning set forth in Section 3.17(b).

  • Subleases means the Sublease(s) of even date herewith by and between the District and Contractor together with any duly authorized and executed amendment hereto under which the District subleases the Site from the Contractor.

  • Company Leased Real Property shall have the meaning set forth in Section 3.15(b).

  • Existing Lease shall have the meaning assigned thereto in Section 10.7.

  • Licenses and Permits means all foreign, local, state and federal licenses, permits, registrations, certificates, Contracts, consents, accreditations and approvals necessary for the operation of the Business.

  • Real Property Leases has the meaning set forth in Section 4.7(b).

  • Material Contracts has the meaning set forth in Section 3.09(a).

  • Parent Permits has the meaning set forth in Section 4.1.

  • Existing Leases means those leases, license agreements and occupancy agreements identified on Schedule 2.1.3, as the same may be amended or modified from time to time in accordance with the terms of this Agreement.

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Occupancy Permit means a document authorizing the use of a development undertaken in accordance with a development permit issued pursuant to this Land Use Bylaw;

  • Ground Lease means a lease creating a leasehold estate in real property where the fee owner as the ground lessor conveys for a term or terms of years its entire interest in the land and buildings and other improvements, if any, comprising the premises demised under such lease to the ground lessee (who may, in certain circumstances, own the building and improvements on the land), subject to the reversionary interest of the ground lessor as fee owner. With respect to any Mortgage Loan where the Mortgage Loan is secured by a Ground Leasehold estate in whole or in part, and the related Mortgage does not also encumber the related lessor’s fee interest in such Mortgaged Property, based upon the terms of the Ground Lease and any estoppel or other agreement received from the ground lessor in favor of Mortgage Loan Seller, its successors and assigns (collectively, the “Ground Lease and Related Documents”), Mortgage Loan Seller represents and warrants that:
