Custodian to Act as Agent: Acceptance of Mortgage Files. The Custodian, as the duly appointed custodial agent of the Trustee for these purposes, acknowledges (subject to any exceptions noted in the Initial Certification referred to in Section 2.3(a)) receipt of the Mortgage Files relating to the Mortgage Loans identified on the schedule attached hereto (the “Mortgage Files”) and declares that it holds and will hold such Mortgage Files as agent for the Trustee, in trust, for the use and benefit of all present and future Certificateholders.
Custodian to Act as Agent: Acceptance of Mortgage Files. The Custodian, as the duly appointed agent and bailee of the Trustee for these purposes, hereby accepts the agency contemplated hereunder and acknowledges receipt as of the Closing Date of the documents listed in Section 2.1(a) and (b) and, as agent for the Trustee, agrees to verify receipt of the following documents pertaining to each of the Mortgage Loans identified on the Mortgage Loan Schedule attached to the Pooling and Servicing Agreement listed in Section 2.1(c), (d), (e) and (f) in accordance with Section 2.2 hereof:

The Custodian, as the duly appointed agent of the Indenture Trustee for these purposes, acknowledges that it will hold the Mortgage Notes, the Related Documents, the assignments and other documents required to be delivered by RRIC to the Custodian pursuant to Section 2.1(b) of the Contribution Agreement and relating to the Mortgage Loans identified on Schedule I hereto and declares that it will hold such Mortgage Notes, Related Documents, assignments and other documents and any similar documents received by the Indenture Trustee subsequent to the date hereof (the “Mortgage Files”) as agent for the Indenture Trustee, in trust, for the benefit of all present and future Noteholders. The Custodian agrees to execute the initial certification and the final certification set forth on Exhibits C-1 and C-2 of the Agreement.
Custodian to Act as Agent: Acceptance of Mortgage Files. The Custodian, as the duly appointed agent of the Trustee for these purposes, acknowledges receipt of the Mortgage Notes, the Security Instruments, the assignments and other documents required to be delivered by the Seller to the Custodian pursuant to Section 2.01(b) of the Agreement and relating to the Mortgage Loans identified on Schedule I hereto and declares that it holds and will hold such Mortgage Notes, Security Instruments, assignments and other documents and any similar documents received by the Trustee subsequent to the date hereof (the "Mortgage Files") as agent for the Trustee, in trust, for the benefit of the Trust and all present and future Certificateholders. The Custodian agrees to execute the Initial Certification and the Final Certification described in Sections 2.02(a) and 2.02 (b) of the Agreement.
Custodian to Act as Agent: Acceptance of Mortgage Files. The Custodian, as the duly appointed custodial agent of the Trustee for these purposes, acknowledges (subject to any exceptions noted in the Initial Certification referred to in Section 2.2(a)), receipt of the Mortgage Files relating to the Mortgage Loans identified on Schedule B attached hereto (the “Mortgage Loan Schedule”) and declares that it holds and will hold such Mortgage Files as custodial agent for the Trustee, in trust, for the use and benefit of all present and future Certificateholders. The Depositor shall deliver to the Custodian, and the Custodian agrees to accept, the Mortgage Note and other documents constituting the Mortgage File with respect to any Substitute Mortgage Loan.

The Custodian, as the duly appointed custodial agent of the Trustee for these purposes, acknowledges (subject to any exceptions noted in the Initial Certification referred to in Section 2.3(a)), receipt of the Mortgage Files relating to the Mortgage Loans identified on the schedule attached hereto (the “Mortgage Files”) and declares that it holds and will hold such Mortgage Files as agent for the Trustee, in trust, for the use and benefit of all present and future Certificateholders. Additionally, the Custodian agrees that upon receipt of the Mortgage Loans identified in the schedule of Subsequent Mortgage Loans to be transferred on the Subsequent Transfer Date that it will hold such Mortgage Files as agent for the Trustee, in trust, for the use and benefit of all present and future Certificateholders. Custodian may rely upon the representation made by Depositor in identifying Mortgage Loans registered on MERS as such on the Mortgage Loan Schedule and shall not be responsible for independently verifying such loans as registered on MERS.
