Mortgage Files Sample Clauses

Mortgage Files. Seller hereby agrees to execute any trust receipt and transmittal letter received by it pursuant to the provisions of this subsection and to return to the Custodian a copy of it by facsimile immediately upon receipt and the original by regular mail within one (1) business day of receipt. In the event Seller receives any one (1) or more Mortgage Files or part thereof from any party, including, without limitation, any Investor, which is not delivered under a trust receipt and transmittal letter, Seller shall (i) immediately so inform Buyer and Custodian, (ii) immediately forward the Mortgage File(s) or part thereof so received to the Custodian and (iii) be deemed to have received such Mortgage File(s) under the Custodian's form of trust receipt and transmittal letter generally used by it for the purpose of transmitting Mortgage Files to Seller or other sellers of loan participation interests and hereby agrees to comply with the terms thereof. (Upon Seller's request, Custodian shall forward to Seller a copy of its standard trust receipt and transmittal letter.)

Mortgage Files. (a) On or prior to the fourth (4th) Business Day prior to the related Purchase Date the Seller shall deliver to the Custodian (as agent on behalf of the Purchaser and the Agent) each of the documents and instruments below (the “Mortgage File”) with respect to each Mortgage Loan to be transferred by the Seller to the Purchaser on such date:

Mortgage Files. The Mortgage Files for each Mortgage will contain, upon transfer of the Servicing to Purchaser, all items required by applicable Servicing Agreements and any applicable Master Servicer, Investor or Agency requirements, or such items shall be supplied by Seller in accord with applicable Servicing Agreements and any Master Servicer, Investor or Agency requirements. Except as reflected in the related Mortgage File, no waiver, alteration or modification in any respect has been made by Seller of the terms and provisions of any Mortgage note or other document relating to the Mortgage, nor have such terms and provisions been subordinated, modified or released in whole or in part by Seller, except as plainly shown on the face of such documents and which change is acceptable to the related Investor.
Mortgage Files. The Representing Party has delivered (or caused to be delivered) to the Master Servicer, the Trustee or the Custodian on the Trustee's behalf a complete Mortgage File for the Credit Lease Loan, except as may otherwise be expressly permitted under Section 2.01;

Mortgage Files. Upon the payment in full of any Non-Designated Mortgage Loan, or the receipt by a Servicer of a notification that payment in full will be escrowed in a manner customary for such purposes, such Servicer will immediately notify the Custodian by delivering, or causing to be delivered a “Request for Release” substantially in the form of Exhibit K. Upon receipt of such request, the Custodian shall within three Business Days release the related Mortgage File to the related Servicer, and the Trustee shall within three Business Days of such Servicer’s direction execute and deliver to such Servicer the deed of reconveyance or release or satisfaction of mortgage or such instrument releasing the lien of the Mortgage in each case provided by such Servicer, and the Custodian shall deliver the Mortgage Note with written evidence of cancellation thereon. Expenses incurred in connection with any instrument of satisfaction or deed of reconveyance shall be chargeable to the related Mortgagor. From time to time and as shall be appropriate for the servicing or foreclosure of any Non-Designated Mortgage Loan, including for such purpose, collection under any policy of flood insurance, any fidelity bond or errors or omissions policy, or for the purposes of effecting a partial release of any Mortgaged Property from the lien of the Mortgage or the making of any corrections to the Mortgage Note or the Mortgage or any of the other documents included in the Mortgage File, the Custodian within three Business Days of delivery to the Custodian of a Request for Release in the form of Exhibit K signed by a Servicing Officer, release the Mortgage File to the related Servicer. Subject to the further limitations set forth below, the related Servicer shall cause the Mortgage File or documents so released to be returned to the Custodian on its behalf, when the need therefor by such Servicer no longer exists, unless the Non-Designated Mortgage Loan is liquidated and the proceeds thereof are deposited in the related Collection Account, in which case such Servicer shall deliver to the Trustee, or the Custodian a Request for Release in the form of Exhibit K, signed by a Servicing Officer. If a Servicer at any time seeks to initiate a foreclosure proceeding in respect of any Mortgaged Property related to a Non-Designated Mortgage Loan as authorized by this Agreement, such Servicer shall deliver or cause to be delivered to the Trustee, for signature, as appropriate, any court pleadings, requests for...
Mortgage Files. The Mortgage File for each Mortgage Loan -------------- contains each of the documents and instruments specified to be included therein as of the Cut-off Date duly executed and in due and proper form.
Mortgage Files. Subject to the payment of the Repurchase Price by the Obligor to the Purchaser for any Mortgage Loan in accordance with the terms hereof, the Purchaser shall cause its custodian to release from its custody to the Seller (or its designee(s)) the contents of each Mortgage File related to any such repurchased Mortgage Loan; provided, the Purchaser may retain copies of any Mortgage File related to such Mortgage Loan.
