Current Company IP definition

Current Company IP is defined in Section 4.6(c).
Current Company IP means each pending, registered, issued or in-licensed Intellectual Property that, individually or taken together with any other such Intellectual Property, is material to the business of Borrower and its Subsidiaries, taken as a whole, relating to the research, development, manufacture, production, use, commercialization, marketing, importing, storage, transport, offer for sale, distribution or sale of the Borrower Products, and is owned or co-owned by or exclusively or non-exclusively licensed to the Borrower or any of its Subsidiaries.
Current Company IP has the meaning set forth in Section 4(r)(iv).

  • Borrower has not received any written notice or claim challenging or questioning Xxxxxxxx’s ownership in any Current Company IP (or written notice of any claim challenging or questioning the ownership in any licensed Current Company IP of the owner thereof) or suggesting that any third party has any claim of legal or beneficial ownership with respect thereto nor, to Xxxxxxxx’s knowledge, is there a reasonable basis for any such claim.

  • Except as described on Schedule 5.9, (i) to the knowledge of any Borrower, each of the material Copyrights, Trademarks and Patents is valid and enforceable, (ii) no material part of the Current Company IP has been judged invalid or unenforceable, in whole or in part, and (iii) no claim has been made to Borrower that any material part of the Current Company IP violates the rights of any third party.

  • Section 5 of the Perfection Certificate contains a true, correct and complete list of each of Borrower’s Patents, registered Trademarks, registered Copyrights, and material agreements under which Borrower licenses Current Company IP from third parties (other than shrink-wrap software licenses), together with application or registration numbers, as applicable, owned by Borrower or any Subsidiary, in each case as of the Closing Date.

  • The Company has a license or other right to use all Company Licensed IP that is Current Company IP, to the Knowledge of Company Group, free and clear of Encumbrances, orders and arbitration awards, provided that the foregoing "Knowledge of the Company Group" qualification shall not apply where an Encumbrance, order or arbitration award would, individually, or in the aggregate, have a material impact upon the Company Business.

  • Except as set forth on Schedule 5.10(a), to the knowledge of Borrower, each Person who has or has had any rights in or to owned Current Company IP or any trade secrets owned by the Borrower or any of its Subsidiaries, including each inventor named on the Patents within such owned Current Company IP filed by the Borrower or any of its Subsidiaries, has executed an agreement assigning his, her or its entire right, title and interest in and to such owned Current Company IP and such trade secrets.

  • No member of the Company Group nor any Company Person has made any submission to, and is not subject to any agreement with, Standards Bodies, Governmental Authorities or other entities which would obligate any member of the Company Group to grant licenses (other than pursuant to the Company End User Agreements) to or otherwise impair the Company's ownership, use or control of any Current Company IP.

Current Company IP means, collectively, each pending, registered, issued Patent, Copyright and Trademark that is owned or co-owned by, or in-licensed to, any Credit Party or any of its Subsidiaries and relates directly or is otherwise material to the research, development, manufacture, production, use (by any Credit Party or its Subsidiaries), commercialization, marketing, importing, storage, transport, packaging, labelling, promotion, advertising, offer for sale, distribution or sale of Product in the Territory, and any other pending, registered, issued Patent, Copyright and Trademark that, individually or taken together with any other such Patents, Copyrights or Trademarks, is material to the business of Borrower and its Subsidiaries, taken as a whole.

Related to Current Company IP

  • Company IP means all Intellectual Property Rights and Intellectual Property owned by or exclusively licensed to the Company.

  • Excluded Intellectual Property shall have the meaning set forth in Section 2.03(b)(iv).
