Company IP Rights definition

Company IP Rights has the meaning set forth in Section 3.12(a).
Company IP Rights means (a) any and all Intellectual Property used in the conduct of the business of the Company or any of its Subsidiaries as currently conducted, and (b) any and all other Intellectual Property owned by the Company or any of its Subsidiaries.
Company IP Rights means all Intellectual Property owned, licensed, or controlled by the Company or its Subsidiaries that is necessary for or used in the operation of the business of the Company and its Subsidiaries as presently conducted.

  • The execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby do not and will not constitute a breach of any instrument or agreement governing or affecting any Company IP Rights (the "Company IP Rights Agreements"), do not and will not cause the forfeiture or termination or give rise to a right of forfeiture or termination of any Company IP Right or impair the right of the Company to use, sell or license any Company IP Right or portion thereof.

Company IP Rights means (A) any and all Intellectual Property that is licensed by the Company or any Subsidiary which Intellectual Property is used (x) in the conduct of the business of the Company and its Subsidiaries as currently conducted by the Company and its Subsidiaries or (y) in the design, development, manufacturing, reproduction, branding, marketing, advertising, promotion, licensing, sale, offer for sale, importation, distribution, provision and/or use of any and all New Products as currently proposed to be conducted by the Company and its Subsidiaries; and (B) Company-Owned IP Rights.
Company IP Rights means any and all Intellectual Property owned by the Company or any of its Subsidiaries.
