Excluded IP definition
Excluded IP means (i) any Software licensed to or on behalf of a Non-Securitization Entity and (ii) any proprietary software owned by a Non-Securitization Entity (other than the Contributed Software).
Excluded IP has the meaning assigned to such term in the U.S. Security Agreement.
Excluded IP means (a) any Intellectual Property arising under the laws of any jurisdiction other than the United States, any state thereof or the District of Columbia, (b) any trademarks owned and used by a Non-Securitization Entity principally for its own corporate purposes that are not otherwise included in Securitization IP and (c) any commercially available Software licensed to or on behalf of any Non-Securitization Entity.

If in the course of the Relationship I use or incorporate into any of the Company Group’s products, services, processes, or machines, or create in any Company IP any dependency on, any Employee Background IP or Excluded IP, I will promptly inform the Company in writing.
Without limiting the generality of the foregoing, during the Relationship and for a period of twelve (12) months thereafter, I will promptly make full written disclosure to the Company of all IP that I solely or jointly author, discover, develop, conceive, or reduce to practice during the period of, or otherwise in connection with, the Relationship for, among other things, the Company to determine which IP is Company IP and which is Excluded IP.

Excluded IP means (i) DuPont Safety, Health and Environmental Standards (including AgCo Licensed SHE Standards), (ii) Engineering Standards (including the AgCo Licensed Engineering Standards), (iii) Regulatory Data, (iv) Operating Systems and Tools (as that term is defined in the OS&T License Agreement), (v) the Licensed Software, Plant Configuration, Firmware, MODTM 5 Hardware and MODTM 5 Systems (as the foregoing terms in this subsection (v) are defined in the MODTM 5 Software Agreement) (collectively, the “MOD5 Systems Excluded IP”), (vi) Trademarks, and (vii) the Intellectual Property set forth on Schedule A.
Excluded IP means any Patent, Trademark or Copyright not set forth on Schedule 3 hereto (as amended, supplemented or otherwise updated or confirmed from time to time).
