Company Searches definition

Company Searches means the searches referred to in paragraph 1.2(a) of this opinion;
Company Searches a search in respect of each member of the Pxxxxxx Group at the Companies Registry or other applicable commercial register showing, to the extent a search showing such information is available, inter alia, no Security Interests over any of its assets (other than any permitted under the terms of this Agreement) and no appointment of a receiver, liquidator or administrator or the presentation of any petition or application in respect of any of the same (or equivalent);
Company Searches a search of each UK member of the Group's register of mortgages and charges and company file at the Companies Registry or Register showing, inter alia, no Security Interests over any of its assets (other than any Permitted Security Interest) and no appointment of a receiver, liquidator or administrator or the presentation of any petition in respect of any of the same.

Examples of Company Searches in a sentence

  • Although there is considerable overlap between the types of English insolvency process capable of being disclosed by the Company Searches and the Insolvency Searches there are differences and some are not capable of being disclosed by either type of Search: for example, a notice of intention to appoint an administrator served by the holder of a qualifying floating charge.

  • The Company Searches revealed no order or resolution for the winding-up of the Company and no notice of appointment in respect of the Company of a liquidator, receiver, administrative receiver or administrator.

  • In addition, the Company Searches are not capable of revealing, prior to the making of the relevant order or the appointment of an administrator otherwise taking effect, whether or not a winding-up petition or an application for an administration order has been presented or notice of intention to appoint an administrator under paragraphs 14 or 22 of Schedule B1 to the Insolvency Act 1986 has been filed with the court.

  • Apart from the documents listed in paragraph 2.1 (together, the Reviewed Documents) and the searches listed in paragraph 2.2 (together, the Company Searches) we have not, for the purposes of this opinion, conducted any other searches, examined any other documents or records whatsoever of, relating to or otherwise affecting the Company or any other person.

  • There are no other facts relevant to this opinion that do not appear from the documents and Searches referred to in part 2 in Schedule 2 and the information revealed by the Company Searches and Winding Up Enquiries was and remains accurate in all respects.

  • A search of the entries and filings shown and available for inspection in respect of the Company in the register of charges and on file of the Company maintained in the register of companies at the office of the Registrar of Companies in Hamilton, Bermuda, as revealed by an electronic company extract prepared by the Registrar of Companies on 29 September 2021 and the documents delivered by the Registrar of Companies in connection therewith ( Company Searches).
