Completion shall take place on the Completion Date at the offices of the Seller’s Solicitors.
Payment to the Seller’s Solicitors or BoS in accordance with the Buyer’s Solicitors Undertaking shall be a good and valid discharge of the obligations of the Buyer to pay the sum in question to the Seller, and the Buyer shall not be concerned to see the application of the monies so paid.
Notwithstanding the foregoing, in the event that a dispute arises between the Purchaser or the Company, on the one hand, and a third party (other than any member of the Seller Group), on the other hand, after Completion, the Company may assert the attorney-client privilege to prevent disclosure of confidential communications by each of Seller’s Solicitors to such third party; provided, however, that the Company may not waive such privilege without the prior written consent of the Seller.
If Purchaser elects to exercise an Extension Option as provided herein, Purchaser shall notify Seller of such election in writing prior to the end of the Initial Approval Period or the then current Extended Approval Period, as the case may be, and shall in each instance simultaneously deliver to Seller’s Solicitors, as an additional deposit, the sum of ten thousand dollars ($10,000.00) (collectively, the “Extension Deposits”, and each individually, an “Extension Deposit”).
Subject to the provisions of this Agreement, Completion shall take place at the offices of the Seller’s Solicitors on the date of this Agreement when all of the business set out in Schedule 4 shall be transacted.
