No Security Interests. LESSEE will not create or agree to or permit to arise any Security Interest (other than Permitted Liens) on or with respect to the Aircraft, title thereto or any interest therein. LESSEE will forthwith, at its own expense, take all action as may be necessary to discharge or remove any such Security Interest if it exists at any time. LESSEE will within five (5) Business Days after becoming aware of the existence of any such Security Interest give written notice thereof to LESSOR.
No Security Interests. None of the assets or rights of the Guarantor is subject to any Security Interest except any Security Interest which (i) qualifies as a Permitted Security Interest with respect to the Guarantor or (ii) is permitted by Clause 11.11 (Negative pledge).
No Security Interests. The Agent shall have received evidence reasonably satisfactory to the Agent that the Aircraft and all other Collateral is the property of the Borrower or the Borrower Parent, as applicable, in each case free and clear of any and all Security Interests and adverse claims or rights except Permitted Liens, and that the Security Trustee has, or will on the Advance Date have, a first priority perfected Security Interest therein (subject only to such Permitted Liens);
No Security Interests. The Guarantor shall not, and shall procure that each other Relevant Person will not create, assume or permit to exist any Security Interest (other than any Permitted Security Interest) of any kind upon any Leasing Document to which such Relevant Person is a party, and if applicable, the Vessel.
No Security Interests. The Guarantor shall not create, issue, incur, assume or permit to exist any Security Interests on any of its property or assets other than in favour of the Agent.
No Security Interests. The Borrower hereby covenants with the Lender that the Operating Account and any moneys therein shall not be charged, assigned, transferred or pledged nor shall there be granted by the Borrower or suffered to arise any third party rights over or against the whole or any part of the Operating Account other than in favour of the Lender as promised herein and in the General Assignment.
No Security Interests. LESSEE will not create or agree or permit to arise any Lien (other than Permitted Liens) on or with respect to the Aircraft, title thereto or any interest therein. LESSEE will forthwith, at its own expense, take all action as may be necessary to discharge or remove any such Lien if it exists at any time. LESSEE will promptly, but in no event later than seventy-two (72) hours after becoming aware of the existence of any such Lien give written notice thereof to LESSOR.
No Security Interests. Except for Permitted Encumbrances or except as otherwise permitted hereby, there are no Security Interests against, on or affecting any or all of its or any of its Wholly-Owned Designated Subsidiary’s properties or assets, of whatsoever nature or kind, and it or they have not given any undertaking to grant or create any such Security Interests or otherwise entered into any agreement pursuant to which any person may have or be entitled to any such Security Interest.
No Security Interests neither the Vessel, nor its Earnings, Requisition Compensation or Insurances nor any other properties or rights which are, or are to be, the subject of any of the Security Documents nor any part thereof will, on the Drawdown Date, be subject to any Security Interests other than Permitted Security Interests or otherwise permitted by the Finance Documents;
No Security Interests evidence that no Security Interests are registered against the Vessel on her previous register;
