Subco Shares means the common shares in the capital of Subco.
Scheme Shares means the Target Shares which are subject to the Scheme in accordance with its terms.
Sale Shares shall have the meaning given to it in Recital (B);
New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.
ASA Shares has the meaning set forth in 2.4(a).
Controlling shareholding means not less than 51% of the voting rights or paid up share capital in the Company/Consortium.
Consideration Shares shall have the meaning set forth in Section 2.7(c).
Relevant Shares means ordinary share capital of the Approved Entity that constitutes equity share capital or the equivalent (or depositary or other receipts representing the same) which is listed and admitted to trading on a Regulated Market.
Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.
Existing Shares means shares of the Company Common Stock Beneficially Owned by Stockholder as of the date hereof.
Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.
VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.
Newco Shares means the common shares in the capital of Newco;
Pubco Shares means the 25,005,544 fully paid and non-assessable common shares of Pubco, to be issued to the Selling Shareholders by Pubco on the Closing.
Placing Shares means the 32,313,130 Shares to be issued by the Company pursuant to the Placing;
Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.
Transaction Security means the Security created or evidenced or expressed to be created or evidenced under or pursuant to the Security Documents.
Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;
Amalco Shares means the common shares in the capital of Amalco;
Purchaser Shares means the common shares in the capital of the Purchaser.
Company Shares means the common shares in the capital of the Company;
Lock-Up Shares has the meaning set forth in Section 4.1.
Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.
Reference Shares means, in respect of the exercise of Investor Cash Settlement Rights or Conversion Rights by a Bondholder, the number of Shares (rounded down, if necessary, to the nearest whole number of Shares) determined in good faith by the Calculation Agent by dividing the aggregate principal amount of the Bonds being the subject of the relevant exercise of Investor Cash Settlement Rights or Conversion Rights by the Conversion Price in effect on the relevant Conversion Date, except that where the Conversion Date falls on or after the date an adjustment to the Conversion Price takes effect pursuant to Sections 5.4(a)(i), (ii), (iv), (v), (vi), (viii), (ix) or (x) but on or prior to the record date or other due date for establishment of entitlement in respect of the relevant event giving rise to such adjustment, then (provided, in respect of an exercise of Conversion Rights only, that the Issuer is able to confer the benefit of the relevant consolidation, reclassification, redesignation or subdivision, dividend, issue or grant (as the case may be) on the relevant Bondholder in respect of the relevant Shares to be issued or transferred and delivered to such Bondholder), the Conversion Price in respect of such exercise shall be such Conversion Price as would have been applicable to such exercise had no such adjustment been made.
Relevant Share Capital means the relevant share capital of the Company (as that expression is defined in Section 67(2) of the 1990 Act);
Broker Warrants has the meaning ascribed to such term in Section 12 hereof;
