Existing Shares definition

Existing Shares means shares of the Company Common Stock Beneficially Owned by Stockholder as of the date hereof.
Existing Shares means the shares of Company Common Stock set forth opposite the Stockholder’s name on Schedule 1.A hereto.
Existing Shares means, with respect to the Stockholder, the number of Company Shares Beneficially Owned and/or owned of record by the Stockholder as of the date hereof, as set forth on Schedule A.

Existing Shares has the meaning given to such term in sub-Clause 2.1 hereof.
