Certificate of the Authority The term “Certificate of the Authority” means an instrument in writing signed by any of the following officials of the Authority: the Chair or Vice Chair of the Board of Directors, Executive Director, Associate Executive Director, Treasurer or a designee of any such officer, or by any other person (whether or not an officer of the Authority) who is specifically authorized by resolution of the Authority for that purpose.
The Authority shall file a Certificate of the Authority with the Trustee that sufficient funds from insurance proceeds or from any funds legally available to the County, or from any combination thereof, are available in the event it elects to repair, reconstruct or replace the Facilities.
A Certificate of the Authority certifying that the requirements set forth in Section 2.08 have been either met or provided for, together with a copy of the amendment to the Lease required by Section 2.08, together with a certified copy of the resolutions of the Authority and the City authorizing the execution of such amendment to the Lease.
The Trustee shall provide or make electronically available a copy of any Monthly Distribution Date Certificate of the Authority to any Noteholder who requests such in writing.
