Cause for Executive definition

Cause for Executive means any one of the following events which occurs without Executive's consent: (i) any reduction of Executive's then existing compensation or benefits, except to the extent that such compensation of all other senior executives of Employer is equally reduced; (ii) any material diminution of Executive's duties, responsibilities, authority, reporting structure, titles or offices provided Executive gives Employer written notice of such material diminution and it is not remedied by Employer within thirty (30) days of receipt of such notice; (iii) any request that Executive relocate to a work site that would increase Executive's one-way commute distance by more than fifty (50) miles from Executive's then principal residence; (iv) any material breach by Employer of its obligations under this Agreement that is not remedied by Company within thirty (30) days of written notice of such breach from Executive; (v) another entity or person becoming the majority owner through a hostile takeover of Employer; or (vi) a slate of directors is elected, a majority of which were not recommended by the existing directors and management prior to the vote.

Examples of Cause for Executive in a sentence

  • The Company may relieve Executive of some or all of Executive’s duties between the date notice is given and the date of termination, and such action shall not constitute Cause for Executive to terminate Executive’s employment under this Section 17.

  • Medical Executive Committee or “MEC” means the Executive Committee of the Medical Staff.

  • Senior Executive means the chief executive officer, chief operating officer, chief financial officer, and anyone in charge of a principal business unit or function.

  • Nominated Company means a company selected by the Lenders’ Representative and proposed to the Authority for substituting the Concessionaire in accordance with the provisions of the Substitution Agreement;

  • Date of Employment means the first day an Employee performs an Hour of Service.

  • Period of Employment shall include any extension thereof pursuant to the preceding sentence. Provision of notice that the Period of Employment shall not be extended or further extended, as the case may be, shall not constitute a breach of this Agreement and shall not constitute “Good Reason” for purposes of this Agreement. Notwithstanding the foregoing, the Period of Employment is subject to earlier termination as provided below in this Agreement.

  • Supervisory Board means the individual or group of individuals that

  • Executive Committee means a group of directors elected or appointed to act on behalf of, and within the powers granted to them by, the Commission.

  • Board or Board of Directors means the Board of Directors of the Company.

  • Scope of employment means performance by an employee acting in good faith within the duties of the employee’s office or employment or of tasks lawfully assigned by a competent authority including the operation or use of an agency vehicle or equipment with actual or implied consent of the supervisor of the employee, but shall not include corruption or fraud;
