Cash Flow Percentage definition

Cash Flow Percentage means, as of the date of any sale or exchange of capital stock or assets, the ratio, expressed as a percentage, derived by dividing (a) Operating Cash Flow attributable thereto for the four consecutive fiscal quarters of the Borrower ending on, or most recently ended prior to, such date for which financial information is available and has been delivered to the Banks hereunder prior to such date of sale or exchange by (b) Operating Cash Flow of the Borrower and its Consolidated Subsidiaries for such period.
Cash Flow Percentage means, for any corporation, partnership, or other entity in which either Co-Borrower has any direct or indirect investment or other interest, for any period of calculation, the percentage derived by dividing (A) the product of (i) Consolidated EBITR for such corporation, partnership, or other entity during the period, multiplied by (ii) the percentage amount of direct or indirect ownership by either or both Co-Borrowers of all outstanding capital stock or other ownership interests of the corporation, partnership, or other entity at the end of the period by (B) Consolidated EBITR for Holdings and its Subsidiaries during the period.
Cash Flow Percentage has the meaning given in Section 2.4(1).

Notwithstanding anything contained herein to the contrary, in no event shall the aggregate Cash Flow Percentage of all tranches of Class B Management Interests exceed the Cash Flow Percentage of the Class B Management Interests.
