No later than five (5) Business Days after the quarterly financial statements are required to be delivered pursuant to Section 5.1(B) hereof, commencing with the Fiscal Quarter ending September 30, 2019, the Borrower shall prepay the Obligations in an aggregate amount equal to the Applicable ECF Percentage of Excess Cash Flow for such Fiscal Quarter.
No later than September 30 of each year, commencing September 30, 2017, the Borrower shall prepay the Loans in an aggregate amount equal to the Applicable ECF Percentage of Excess Cash Flow for the prior fiscal year (such prepayments to be applied as set forth in clause (iv) below); provided, that any Excess Cash Flow for fiscal year ending December 31, 2016, shall be calculated from the Closing Date through December 31, 2016.
