Unless, in Project Developer’s reasonable judgment, immediate action is required, including under the CAISO Tariff or the CAISO LGIA, Project Developer shall obtain the consent of IID, such consent to not be unreasonably withheld, prior to performing any manual switching operations at the Project or Project Developer’s Connection Facilities in response to an Emergency Condition either declared by IID or otherwise regarding IID’s Connection Facilities or the IID Tie-Line.
Each Party shall perform all scheduling and transmission activities in compliance with (i) the CAISO Tariff, (ii) WECC scheduling practices, and (iii) Prudent Operating Practice.

The Parties agree that any Availability Incentive Payments (as defined in the CAISO Tariff) are for the benefit of the Seller and for Seller’s account and that any Non- Availability Charges (as defined in the CAISO Tariff) are the responsibility of the Seller and for Seller’s account.
