Book and Records definition

Book and Records all records, books, documents, licenses, reports and data which relate to the E&P Contract, CVA, the Contract Area and the Tangible Assets, or any of them;
Book and Records means all records (in any type of storage medium) in the possession or control of a Person, including, without limitation, customer lists, sales records, records relating to regulatory matters, financial and accounting records and compliance records.
Book and Records means (a) all product, business and marketing plans, sales and promotional literature and artwork relating to the Assets, the Business or the Parent Business, as applicable, (b) all books, records, lists, ledgers, financial data, files, reports, product and design manuals, plans, drawings, technical manuals and operating records of every kind relating to the Assets, the Business or the Parent Business, as applicable (including records and lists of customers, distributors, suppliers and personnel), and (c) all telephone and fax numbers used in the Business or the Parent Business, as applicable, in each case whether maintained as hard copy or stored in computer memory and whether owned by the Company or its Affiliates or the Parent or its Affiliates, as applicable.

  • All of the Book and Records delivered to Buyer on Closing pursuant to the terms hereof shall be maintained in good order and good condition and kept in a reasonably accessible location by Buyer and its Affiliates for a period of five (5) years from the Closing Date or for any longer period as may be required under applicable Legal Requirements (the "Retention Period").

Book and Records means all tangible and electronically stored books, records, files, documents, financial records, bills, accounting, internal records, databases, information systems, operating manuals, customer and supplier lists and files, including customer lists, preprinted materials, artwork, and other similar items pertaining to the Business or the Colorado Facility.
Book and Records has the meaning specified in Section 2.01(e).

Related to Book and Records

  • Files and Records means all files and records of Seller relating to the Business, whether in hard copy or magnetic or other format including customer and supplier lists and records; equipment maintenance records; equipment warranty information; plant plans, specifications and drawings; sales and advertising material; computer software; technical and research analyses; engineering, sales, marketing and other studies, data and plans; bid information; quality assurance records; and records relating to those employees of Seller who may become employed by Purchaser following the Closing.

  • Transferred Books and Records means all of Seller's customer or subscriber lists and records, accounts and billing records, plant and continuing property records, plans, blueprints, specifications, drawings, surveys, engineering reports, personnel records of Transferred Employees (where applicable), tariffs, orders or other material correspondence or records relating to regulation of the Business by any Governmental Authority, and all other documents, computer data and records, in each case relating primarily to the operation of the Business, except for the Retained Books and Records.

  • Monthly Records means all records and data maintained by the Servicer with respect to the Receivables, including the following with respect to each Receivable: the account number; the originating Dealer; Obligor name; Obligor address; Obligor home phone number; Obligor business phone number; original Principal Balance; original term; Annual Percentage Rate; current Principal Balance; current remaining term; origination date; first payment date; final scheduled payment date; next payment due date; date of most recent payment; new/used classification; collateral description; days currently delinquent; number of contract extensions (months) to date; amount of Scheduled Receivables Payment; and past due late charges.

  • Collection Records means all manually prepared or computer generated records relating to collection efforts or payment histories with respect to the Receivables.

  • Servicing Records shall have the meaning provided in Section 11.14(b) hereof.
