Benefit Plan Investors definition

Benefit Plan Investors has the meaning specified in Section 2.11(d).
Benefit Plan Investors means employee benefit plans subject to Title I of ERISA, benefit plans subject to Section 4975 of the Code, government plans, church plans, Individual Retirement Accounts, Kxxxx Plans covering only self-employed persons and no employees, employee benefit plans covering only the sole owner of a business and/or his spouse and foreign pension plans.
Benefit Plan Investors means as defined in the section of this Prospectus entitled

Examples of Benefit Plan Investors in a sentence

  • Without limiting the ability of the Directors to compel the compulsory redemption of Shares by anyone who is a Restricted Person, the Directors may require the compulsory redemption of Shares to ensure that the interests of Benefit Plan Investors do not equal 25% or more of the value of any Class.

  • An entity described in (iii) immediately above will be considered to hold plan assets only to the extent of the percentage of the equity interests in the entity held by Benefit Plan Investors.

  • Subscribers who are either (i) Benefit Plan Investors or (ii) investing on behalf of or with assets of a Benefit Plan Investor must complete Appendix B.

More Definitions of Benefit Plan Investors

Benefit Plan Investors include (a) any employee benefit plan (as defined in section 3(3) of ERISA), that is subject to Title I of ERISA, (b) any plan to which Section 4975 of the Internal Revenue Code applies, including, without limitation, individual retirement accounts and Kxxxx plans, and (c) any entity, the underlying assets of which include plan assets of a plan described in (a) or (b) above by reason of a plan’s investment in the entity, including without limitation for this purpose, the general account of an insurance company, any of the underlying assets of which constitute “plan assets” under Section 401(c) of ERISA, or a wholly owned subsidiary thereof.
Benefit Plan Investors means (i) any “employee benefit plan” (as defined in Section 3(3) of ERISA), subject to Title I of ERISA, (ii) any “plan” described in Section 4975(e)(1) of the Code to which Section 4975 of the Code applies, or (iii) any entity whose underlying assets could be deemed to include “plan assets” by reason of an employee benefit plan’s or a plan’s investment in the entity within the meaning of the Plan Asset Regulation or otherwise. Such an entity is considered to hold plan assets only to the extent of the percentage of its equity interests held by Benefit Plan Investors.
